Job summary

Orion Placement seeks an associate attorney for a sophisticated corporate and M&A practice, handling high-value transactions across major industries. The role offers a flexible hybrid work arrangement in Chicago or Nashville.

The ideal candidate has 3+ years of corporate transactional experience, 2+ years of M&A deal experience, and an active U.S. bar license. A J.D. from an accredited law school and strong academic credentials are required.

Qualifications

  • 3+ years as an associate attorney in corporate law, with emphasis on transactions.
  • 2+ years of sophisticated corporate transactional experience and 2+ years of M&A deal work.
  • Active U.S. bar license in good standing and solid academic credentials.
  • Experience representing private equity firms or private companies is a plus.

Responsibilities

  • Advise public and private companies on corporate and transactional matters.
  • Represent clients in mergers, acquisitions, dispositions and M&A deals.
  • Support portfolio companies and private entities through significant transactions.
  • Draft, review and negotiate transaction documents and agreements.
  • Conduct due diligence and identify legal and business risks.
  • Collaborate with senior attorneys and clients to execute transactions efficiently.
  • Provide commercially focused guidance throughout the transaction lifecycle.
  • Potential involvement with SEC reporting, capital markets and governance matters.

Pay:

$260,000.00 - $435,000.00 per year

  • Support private equity firms, portfolio companies and other private companies through significant transactions.
  • Assist public companies with sophisticated corporate and securities matters.
  • Draft, review and negotiate transaction agreements and related corporate documents.
  • Conduct and manage transaction due diligence and help identify and address legal and business risks.
  • Work collaboratively with senior attorneys, clients and other advisors to execute transactions efficiently.
  • Provide thoughtful, commercially focused legal guidance throughout the transaction lifecycle.
  • Potentially support SEC reporting, capital markets and corporate governance matters.
Qualifications
  • 3+ years as an associate attorney; 3rd-year attorney or above.
  • 2+ years of sophisticated corporate transactional experience.
  • 2+ years of M&A deal experience.
  • Experience representing private equity firms and/or private companies in sophisticated transactions.
  • Experience with public company M&A is required.
  • J.D. from an accredited law school.
  • Active law license in a U.S. jurisdiction in good standing.
  • Excellent academic credentials.
  • Strong analytical, written, verbal and interpersonal communication skills.
  • Ability to manage sophisticated transactions and work effectively in a collaborative team environment.
  • SEC reporting, capital markets and/or corporate governance experience is a plus.
