The Voleon Group in Berkeley, CA is seeking an Associate Corporate Counsel to join our Legal team and support growth across commercial contracting, governance, and IP matters. You will draft, review, and negotiate a broad range of agreements, and provide practical guidance to business partners.

Ideal candidates hold a U.S. JD, 2–4 years of experience, and a track record negotiating MSAs, SOWs, and data-related agreements with both customers and vendors.

Qualifications

• J.D. from an accredited U.S. law school and active membership in good standing in at least one U.S. state bar.
• 2–4 years of relevant legal experience, including experience at a leading law firm.
• Significant experience drafting and negotiating commercial agreements, including MSAs, SOWs, SaaS or technology agreements, data-related agreements, and NDAs.
• Demonstrated experience negotiating commercial agreements from both the customer and vendor perspectives.
• Strong contract drafting, issue-spotting, and negotiation skills.
• Ability to evaluate legal risk in the context of business objectives and provide practical, commercially oriented advice.
• Excellent written and verbal communication skills, including the ability to work effectively with both lawyers and non-legal stakeholders.
• Strong organizational skills and the ability to manage multiple matters independently in a fast-paced environment.
• Sound judgment, intellectual curiosity, attention to detail, and a willingness to take ownership of matters while knowing when to elevate or seek input.

Responsabilités

• Draft, review, and negotiate a broad range of commercial agreements, including NDAs, master services agreements, statements of work, SaaS and software agreements, and data-related agreements
• Serve as a key legal partner to stakeholders across Voleon and its affiliates, providing practical guidance on commercial matters, business risks, and negotiations
• Manage commercial negotiations from initial review through execution, including working directly with counterparties and their counsel
• Develop and improve contract templates, negotation guidance, playbooks, and other resources to support efficient and consistent contracting practices
• Support a variety of general corporate matters, including entity governance, corporate records, entity structuring, intellectual property, trademarks, and real estate
• Collaborate with the Legal team and cross-functional stakeholders on a broad range of legal, regulatory, and business matters
• Identify opportunities to strengthen legal operations and take on additional responsibilities as Voleon's business continues to evolve
