Scope and Impact

This position supports the legal function that enables commercial, procurement, services, and R&D transactions. The Associate Corporate Attorney helps ensure agreements are reviewed and negotiated efficiently and in alignment with company policies and risk tolerance, escalating issues as needed and contributing to consistent contracting practices.

Key Responsibilities
  • Draft, review, and negotiate a variety of commercial agreements (e.g., equipment sales and services, supplier and purchase agreements, NDAs, and other routine commercial arrangements) in partnership with business stakeholders.
  • Support contract risk assessment and negotiation of key terms (e.g., indemnities, limitation of liability, warranties, confidentiality, IP ownership, and data/security provisions), escalating higher‑risk issues for guidance.
  • Assist with contract disputes by gathering facts, reviewing contract positions, and supporting resolution strategies in coordination with more senior attorneys and stakeholders.
  • Use and help improve contract templates, playbooks, and negotiation guidelines to support consistency and efficiency.
  • Provide practical, business‑focused legal guidance for routine and moderately complex transactions and seek input from senior legal team members on escalations.
  • Support manufacturing and operations teams on contracting needs, including supplier/commercial issues, service and maintenance arrangements, tooling/equipment support, and other plant‑related agreements.
  • Support contract lifecycle management (CLM) processes, including intake, tracking, and basic reporting, and contribute ideas for process improvements.
  • Coordinate with Ethics & Compliance, Privacy, and Litigation teams as needed on regulatory, policy, and dispute‑related issues impacting contracts.
  • Design and deliver protective legal training for internal business units to promote mitigation of risk, strengthen compliance, and enhance awareness for legal/contractual obligations, company policies, and best practices.
  • Build strong working relationships across the Legal team and business partners; continuously develop contracting and negotiation skills through feedback and collaboration.
Required Qualifications
  • J.D. degree and active license to practice law in at least one U.S. jurisdiction.
  • 3–5 years of relevant experience in commercial contracting (in‑house and/or at a law firm), preferably supporting a technology, manufacturing, or advanced manufacturing environment.
  • Experience drafting and negotiating commercial agreements and advising business partners on key contract terms and risk tradeoffs.
  • Strong knowledge of contract law, IP ownership, indemnities, limitation of liability, and risk allocation.
  • Experience supporting contract disputes or pre‑litigation assessments is helpful (direct experience or exposure through supervision).
  • Excellent negotiation, communication, and stakeholder management skills.
  • Familiarity with CLM systems and contract process optimization is desirable.
  • Team player who can operate across different cultures, time zones, and environments.
  • Technology, semiconductor, manufacturing, or advanced manufacturing industry experience, domestic and international, preferred (including support of manufacturing/operations stakeholders).
