Job summary

Morrison Foerster in San Francisco seeks an attorney with 3–6 years of law firm experience advising on corporate transactions, governance, and structuring. Experience in social enterprise and impact investing is a plus.

You will draft, review, and negotiate investment and financing documents; advise boards on fiduciary duties and sustainability matters; and collaborate with corporate, tax, regulatory, securities, and IP teams to deliver sophisticated transactions.

Qualifications

• 3 to 6 years of law firm experience advising clients on corporate transactions, incorporation, governance, and structuring. Social enterprise and impact investing experience is a plus.
• You draft, review, and negotiate investment, financing, governance, and other transaction documents.
• You advise boards and management teams on corporate governance, fiduciary duties, and sustainability-related matters.
• You work well with colleagues in corporate, finance, tax, regulatory, securities, executive compensation, intellectual property, and beyond to deliver on sophisticated transactions and advisory matters.
• You communicate complex legal and commercial issues clearly and concisely, in oral and written form, to your team and your clients.
• You have a strong work ethic, team player attitude, and action-oriented interest in taking on increased levels of responsibility.
• You are admitted to the state bar in which you are practicing, or you are eligible to waive in.
