Job summary

Orionplacement seeks an attorney with 2+ years of experience in corporate, licensing, and franchise matters to join a sophisticated boutique practice in Falls Church, VA.

You will draft and negotiate contracts, advise on franchise systems, and collaborate across teams, with flexible hybrid work and opportunities for remote arrangements within the U.S.

Qualifications

  • 2+ years of attorney experience.
  • Experience in general corporate law, licensing and transactional matters, franchise law, or commercial litigation.
  • Experience drafting commercial contracts and/or license or franchise agreements.
  • Excellent legal drafting, writing, analytical, and communication skills.
  • Ability to independently manage projects and priorities.
  • Experience conducting legal research using Westlaw.
  • Strong academic credentials and commitment to high-quality work.
  • Ability and desire to learn new areas of law, particularly franchise law.
  • Strong interest in client interaction and relationship development.
  • Prior franchise law experience is preferred but not required.

Responsibilities

  • Advise businesses on corporate, commercial, transactional, licensing, and franchise-related legal matters.
  • Draft, review, analyze, and negotiate commercial contracts, license agreements, franchise agreements, and related documents.
  • Assist with development and operation of franchise systems and regulatory requirements.
  • Prepare and review franchise disclosure and other regulatory documents.
  • Support corporate transactions, private equity matters, M&A transactions, licensing programs, and other commercial arrangements.
  • Counsel clients regarding ongoing business relationships, contractual obligations, and regulatory issues.
  • Conduct legal research using Westlaw and prepare clear, practical legal analysis.
  • Draft contracts, correspondence, memoranda, and other sophisticated legal documents.
  • Independently manage projects, priorities, deadlines, and client matters.
  • Collaborate closely with transactional, regulatory, counseling, litigation, and paralegal teams.
  • Develop strong relationships with clients while becoming a trusted resource.

Location:

Falls Church, Virginia, conveniently located just inside the Washington, D.C. Beltway. We offer a flexible hybrid environment with the ability to work partially remotely. Note:

Candidates should have 2+ years of experience in general corporate law, licensing and transactional matters, franchise law, or commercial litigation. Strong commercial contract drafting, independent project management, legal research, and written communication skills are essential. Prior franchise law experience is welcome but is not required.
