ORGANIZATION OVERVIEW

Urban Resource Institute (URI) is a dynamic, innovative, and well-respected organization founded in 1980 that transforms the lives of domestic violence survivors and homeless families through safe shelter and comprehensive services; delivers prevention and intervention programs that break cycles of violence and poverty; and actively works for sustainable systemic change. URI is the oldest licensed provider of domestic violence (DV) shelter and services in New York State, and is the largest provider in the United States of DV shelter services, as well as a leading provider of shelter and services for homeless families.

POSITION OVERVIEW

Reporting to the General Counsel, the Assistant General Counsel is responsible for drafting and negotiating commercial contracts. The Assistant General Counsel supports research into the crafting of policies and procedures that impact the entire agency and provides advice on regulatory affairs. We work collaboratively and value diverse opinions.

Salary: $105,000 - $115,000

MAJOR DUTIES AND RESPONSIBILITIES

  1. Draft and negotiate commercial contracts using a contract management software system.
  2. Oversee & track insurance requirements for the agency and document in a database.
  3. Ensure that all contracts have current insurance requirements. Oversee paralegal to support insurance related work.
  4. Research compliance requirements embedded in contract documents between the agency and regulatory bodies.
  5. Research & draft policies & procedures to reflect procurement compliance federal, state and city regulations.
  6. Work with the Deputy General Counsel to review current agency policies & procedures and draft an action plan for collaborating with relevant organization team members to update and revise existing policies and procedures.
  7. Support Enterprise Risk Management policies as a subset of compliance.
  8. Participate in weekly department team meetings.
  9. Engage with other agency leadership team members.
  10. Review and respond to requests for legal services.
  11. Attend board meetings.
  12. Serve as the legal liaison on various agency work groups.
  13. Engage in other activities that are relevant to the position.

SPECIFICATIONS FOR EDUCATION/CERTIFICATIONS/LICENSES

  • Law degree from an accredited law school.
  • Admission to the New York State Bar or ability to waive in.

REQUIRED SKILLS AND EXPERIENCE

  • A minimum of 3-4 years’ legal experience in government, law firm or not-for-profit.
  • Exceptional technology-based skills demonstrated through familiarity with enterprise software, software as a system and other software tools such as contract management software or project management tools such as Monday.com.
  • Demonstrated sensitivity to or experience with domestic violence, homelessness, poverty, trauma, particularly in communities with disenfranchised populations.
  • Strong legal, analytical, administrative, written and oral communication skills.
  • Keen contract drafting & negotiation skills for goods and services.
  • Ability to draft and negotiate contracts for goods and services up to $20M or more.
  • Good interpersonal skills, including social and emotional intelligence.
  • Ability to work independently, assess priorities, take initiative, handle multiple assignments simultaneously and consistently meet deadlines.
  • Ability to research legal issues relating to programs, including legislative and regulatory issues impacting the organization’s delivery of services.
  • Excellent research skills demonstrated through the drafting of legislation and public policy preferred.
  • Ability to provide legal advice to business departments concerning a wide range of issues impacting business decisions.
  • Some familiarity with municipal government contracts or other complex commercial contracts.
  • Interest in not-for-profit mission driven work
  • Ability to present ideas in writing and oral form.

SPECIFICATIONS FOR PHYSICAL REQUIREMENTS

  • Hybrid position requiring three days in the Manhattan Office.
  • Ability to travel within the four boroughs for site visits.
  • Will be required to read printed and handwritten materials.
  • Prolonged periods of sitting at a desk and working on a computer.
  • Must be able to lift up to 10 pounds at a time.
