Job summary

Merlin Group is seeking an experienced Assistant General Counsel to lead government contracting and technology transactions from the in‑house legal team. The role emphasizes drafting, negotiation and compliance across federal procurement, with broad responsibilities spanning risk management and strategic partnerships.

The AGC will partner with sales, product, and engineering to ensure contract terms support business objectives while maintaining regulatory compliance.

Qualifications

• J.D. from an accredited law school and active state bar membership.
• 8+ years of legal experience including government contracting.
• Experience drafting, negotiating, and project managing commercial tech contracts.
• Deep knowledge of reseller/distributor channels and federal contract vehicles.
• FAR/DFARS, GSA Schedule, CUI/CMMC, and supply chain compliance familiarity.

Responsibilities

• Draft, review, negotiate and finalize broad commercial contracts incl. SaaS and licensing.
• Advise on government contracting, procurement, and compliance with federal rules.
• Support bids, proposals, and government agreements; align terms with policy.
• Assist in strategic transactions and post‑closing activities as needed.
• Provide training and guidance on risk and compliance throughout the org.
