Accuray, based in Madison, WI, seeks a senior corporate attorney to join its legal team and help shape governance and securities matters for a public company. You will advise on SEC reporting, Board governance, and negotiate complex commercial agreements, partnering with Finance and other stakeholders.

The ideal candidate has a JD, a BA/BS, and at least 9 years of in-house or law-firm experience with public company exposure, and a demonstrated ability to provide practical, business-focused

Job Description

ESSENTIAL DUTIES AND RESPONSIBILITIES

• Advise on corporate governance, securities law and general corporate legal matters;
• Prepare, review and file of Forms 10-K, 10-Q, 8-K, proxy statements and other SEC filings, partnering with Finance and other stakeholders as appropriate;
• Advise on Board and Board Committee governance matters, including drafting and reviewing meeting minutes and supporting preparation and review of Board materials;
• Maintain and update corporate governance and legal policies and procedures, including practices supporting SEC and public company compliance;
• Support company enterprise risk, compliance and regulatory programs;
• Draft and negotiate complex commercial agreements as needed;

Manage outside counsel as appropriate

Required

• BA/BS and JD required.
• Active license and good standing in at least one relevant U.S. jurisdiction required.
• 9+ years of relevant legal experience in-house, at a law firm, or a combination, with demonstrated experience advising public companies.
• Significant experience with SEC reporting and securities law matters.
• Strong experience drafting and negotiating sophisticated commercial and sales agreements.
• Demonstrated ability to independently assess legal and commercial risk and provide practical, business-oriented recommendations.
• Strong judgment, analytical, negotiation and problem-solving skills.
