Job summary

NJ TRANSIT is seeking an Assistant General Counsel - Corporation and Commercial to counsel on a broad range of corporate and commercial matters, with emphasis on procurements for competitively bid contracts and negotiation of commercial agreements.

The role involves managing litigation, coordinating with outside counsel, reviewing board materials, and advising on capital projects and regulatory compliance. A JD with 5+ years in corporate law is required.

Qualifications

  • Juris Doctor (JD) required.
  • 5+ years’ experience with corporate and commercial law.

Responsibilities

  • Counsel on procurements for competitively bid contracts, including RFPs and IFBs.
  • Counsel on responses to procurements for competitively bid contracts.
  • Draft and negotiate commercial contracts related to goods/services, marketing, transportation, and more.
  • Manage litigation, arbitrations, and administrative proceedings with outside counsel.
  • Oversee outside counsel work product and billing aligned with NJ TRANSIT goals.
  • Collaborate with management on economic development, sustainability, and infrastructure matters.
  • Interface with private entities and government agencies on procurement, funding, and approvals.
  • Develop strategies, draft agreements, and ensure compliance with regulations and funding requirements.
  • Monitor developments in commercial contracting law and provide training.

Summary

The Assistant General Counsel - Corporation and Commercial - provides legal counseling on a wide range of corporate and commercial issues. The individual will work with management and its business units in connection with a variety of issues with an emphasis on procurement of competitively bid contracts and negotiation of commercial contracts.

Roles And Responsibilities
  • Review, analyze and provide counsel on procurements for competitively bid contracts, including but not limited to Requests for Proposals, Invitations for Bids, Requests for Qualifications and Requests for Expressions of Interest.
  • Review, analyze and counsel on responses to procurements for competitively bid contracts.
  • Review, negotiate, draft and provide counsel in connection with commercial contracts, related to property acquisitions, purchase of goods and services, marketing, construction, transportation, insurance, environmental and other issues.
  • Manage litigation, arbitrations, and administrative proceedings related to corporate and commercial matters, including coordination with outside counsel and interaction with courts and agencies.
  • Provide oversight of outside counsel work product and management of billing and engagement terms to ensure alignment with NJ TRANSIT objectives.
  • Work with NJ Transit management and staff in connection with NJ Transit’s economic development, sustainability and infrastructure and its bus and rail transportation operations.
  • Communicate with private businesses and local, state and federal agencies in connection with various matters, including but not limited to procurement, contracting, financing, state and federal funding, construction and other matters. Interpret NJ Transit’s By-laws, review and draft Board materials, provide legal advice to the Board Office at monthly Board and Committee meetings and support related corporate governance compliance.
  • Develop strategies, provide legal advice, negotiate and draft agreements relating to capital projects. Review and revision of corporate and commercial contract forms, ensuring consistency with statutory, regulatory, and funding requirements, as well as environmental, insurance, and risk‑management considerations.
  • Support and participate in monitoring developments in commercial contracting law, including changes affecting NJ TRANSIT’s policies, procedures, and compliance requirements and provide recommendations and training to ensure organizational compliance.
  • Work with OPRA staff and business units regarding court notices, subpoenas, discovery requests and OPRA requests.
Education, Experience, Qualifications
  • Juris Doctor (JD)
  • 5+ years’ experience with corporate and commercial law
Knowledge And Skills
  • Commercial and corporate law and litigation
  • Procurement of Competitively Bid Contracts
  • Negotiation of Commercial Contracts
  • In-House and large law firm experience
  • Skills: Inter-Personal Communication - Research and Writing - Business Acumen - Ethics
  • Experience in the transportation industry, regulated industries and/or state agencies a plus.
