Overview

• Advising clients on matters related to a full range of registered investment companies, including mutual funds, exchange-traded funds (ETFs), listed closed-end funds, interval funds, tender offer funds, and business development companies, and their trustees/directors.
• Advising investment advisers on all their business and regulatory matters.
• Providing legal counsel on fund formation, registration, and ongoing compliance for registered investment companies and their advisers and boards.
• Providing advice regarding product development, including novel product designs.
• Reviewing and drafting legal documents such as prospectuses, statements of additional information, and shareholder reports.
• Conducting legal research and analysis on novel issues, including reviewing relevant laws, regulations, and industry trends.
• Advising clients on compliance with securities laws, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934.
• Representing clients in interactions with regulatory authorities, including the Securities and Exchange Commission (SEC) and state securities regulators.
• Providing subject matter expertise in related practices, such as mergers and acquisitions in the financial services industry.
• Providing training and guidance to junior attorneys and legal staff.
