Job Summary

This is a Vice-President level role supporting the Company Secretary (CoSec) team. You will oversee the day-to-day management and supervision of portfolios, primarily of US entities, ensuring compliance with all statutory and regulatory requirements. As part of the CoSec team in this dynamic role, you will collaborate with other team members (5+ people in Europe and Asia) to support team functions and contribute to the expansion plans for the Alts CoSec function.

The ideal candidate will be dependable, organized, and possess excellent communication skills, strong technical knowledge, and a pragmatic approach. Support requirements will vary daily, combining paralegal tasks, board support, and business support. A strong work ethic and common sense are essential.

Job Responsibilities:

  • Manage portfolios of Private Equity Real Estate (“PERE”) entities, including:
  • Board meetings: agenda preparation, board pack monitoring, and coordination
  • Annual shareholder meetings
  • Coordinate incorporations and liquidations with stakeholders
  • Oversee the administrative and legal aspects of PERE-related fund structures and maintain compliance calendars
  • Coordinate with internal and external stakeholders
  • Manage external CoSec vendors daily
  • Assess reporting credentials of new entities, update internal databases, and oversee internal reporting
  • Monitor legal documents for accuracy and compliance
  • Assist with due diligence requests

Required qualifications, capabilities, and skills

  • Bachelor’s degree in Business, Finance, Management, or related field
  • At least 7 years of experience in a similar fiduciary or asset management role
  • Strong interpersonal skills and ability to build relationships across organizational levels
  • Ability to remain composed and objective under pressure
  • Proven ability to work independently, prioritize, and manage multiple projects in a fast-paced environment
  • Excellent written and verbal communication skills
  • Knowledge of Reg Y, Reg W, and Volcker rules is a plus
  • Solution-oriented, proactive, and eager to learn
  • Familiarity with registered and unregistered investment funds, real estate, and private equity
  • Proficient in Microsoft Office

Preferred qualifications, capabilities, and skills

  • Juris Doctor (JD) in Law is a plus
