ACTIVE: In-House: Assistant General Counsel – Northern Chicago Suburbs

About the Position:
Our client, a global nonprofit organization headquartered in Chicago’s Northern Suburbs, is actively seeking an attorney with 5+ years of significant large law firm corporate experience to join its dynamic and collegial in-house legal team as an Assistant General Counsel. The individual in this role will work closely with the Chief Legal Officer as well as other members of the legal team, and will have broad responsibilities, including assisting with corporate governance and board matters, drafting and negotiating complex commercial contracts, and supporting and advising business leaders. Responsibilities:
• Provide strategic guidance on contracts, cooperation agreements, grant and research agreements, and key initiatives
• Advise on corporate governance and compliance matters, including board-related issues and organizational best practices
• Provide counsel on corporate maintenance matters, ensuring legal and regulatory requirements are met
• Provide advice on executive compensation and benefits
• Conduct research and analysis on legal issues specific to company operations
• Draft, review, and negotiate transactional and other contracts/agreements, including those related to grants and research
• Lead or participate in special projects that advance corporate strategies and contribute to organizational growth
• Develop and implement policies, processes, and controls to ensure global compliance with applicable laws and regulations

Required Qualifications:
• 5+ years of large law firm corporate law experience, specifically with corporate governance, commercial contracts and transactional work
• Stellar academic credentials
• Background at a nonprofit, academic, or research organization is a plus

Location/Relocation:
Northern Suburb of Chicago (Hybrid); Local Illinois candidates only.

Compensation:
The anticipated base salary range for this position is $175,000 – $225,000 (plus strong bonus and benefits).
