Position Summary:

KSM has a Manager opportunity to join the Accounting Advisory group, a growing part of the firm’s Transaction Advisory Services (TAS) team. This role provides a dynamic & flexible environment with learning opportunities in working with private equity and corporate clients on various accounting advisory engagements, with an emphasis on post-closing projects. The KSM TAS team will provide the opportunity to drive your own career path & advancement.

At KSM you will have the opportunity to work in an energetic atmosphere, actively participating in assessing and implementing key accounting principles relevant to business combinations, consolidations, purchase price adjustments. In addition, this role provides the opportunity to gain experience in other financial consulting areas, including sell-side advisory, technical accounting guidance, internal controls and processes, and investigative consulting. As you grow, client-facing opportunities will increase and provide you with opportunities to feel as if you are a part of your clients’ accounting teams and corporate missions. Responsibilities:
  • Assist the advisory team in obtaining and preparing data for purchase accounting (ASC 805) and purchase price adjustments, which includes detail review of purchase agreements, discussions with attorneys, and an understanding of the mechanics of various deals in a variety of industries

  • Apply the contractual Purchase Agreement elements to opening balance sheets and price adjustment mechanisms

  • Lead meetings and site visits with target company management, interacting with top-level management to obtain pertinent information

  • Own the projects assigned and move them toward and through completion, seeking assistance as needed. This includes reviewing Associate and Senior Associate work

  • Support clients in navigating post-closing disputes

  • Work on a variety of projects that vary in size & complexity, including but not limited to accounting investigations, internal control consulting, audit support assistance, technical accounting memo writing, and others

  • Mentor and develop members of the Accounting Advisory team as the group continues to scale

Requirements/Qualifications:
  • A minimum of 2-years’ experience in an M&A audit role and 5-7 years’ experience ideally within audit, or other finance-related roles

  • Strong technical accounting background with demonstrated experience in resolving technical accounting matters independently

  • Significant background in PPA engagements and running projects with minimal oversight

  • Demonstrates a high level of efficiency in Excel

  • Bachelor’s degree in accounting or finance, OR:

  • CPA, CFA, or CFE certification or working towards obtaining (preferred)

  • Strong current knowledge of U.S. Generally Accepted Accounting Principles, especially ASC 805 and ASC 810

  • Familiarity with the M&A process & market

  • Strong project management skills, highly analytical, and inquisitive

  • Experience managing a team, particularly in a remote environment

  • Experience contributing to building a book of business and cross-selling services

  • Desire to work in a deadline-driven environment (independently and/or with others) while effectively managing unexpected issues and/or questions in a professional manner

  • Ability to adapt communication style to successfully convey messaging & objectives to all levels of management, clients, colleagues, etc.

  • Minimal travel as needed to various client sites (less than 5%)
