Job summary

World Business Lenders is seeking a Corporate Governance Team Lead to own the operating framework for entity management, filings, governance records, and intellectual-property administration. You will ensure entities and governance documentation stay accurate, current, and ready to support business activity and expansion.

You will build scalable governance standards, manage external filing services, and supervise the Corporate Governance Analyst while partnering with Finance, Tax, Operations,

Qualifications

• Must have a law degree with proof of qualification.
• Must be able to read and speak English fluently.
• Strong ability to prioritize tasks and manage multiple deadlines.
• Proficiency in Outlook and Teams for scheduling, communication, and collaboration.
• 5+ years of experience in corporate governance, entity management, or related function.
• Experience with formations, dissolutions, annual filings, and corporate records.

Responsibilities

• Oversee lifecycle of WBL entities, including formations, amendments, mergers, conversions, dissolutions, and withdrawals.
• Maintain authoritative entity records, organizational charts, officers and directors, ownership information, and good-standing status.
• Manage minute books, charters, bylaws, operating agreements, consents, resolutions, certificates, and other governance documentation.
• Establish naming, filing, retention, access, and quality-control standards for corporate records.
• Draft and coordinate board, manager, member, shareholder, and officer resolutions and written consents.
• Maintain governance calendars and ensure approvals are completed, executed, and retained.
• Confirm entity authority and signatory authority for corporate actions.
• Support governance reporting and preparation for meetings, audits, financings, and diligence requests.
• Coordinate administrative aspects of IP registrations, renewals, assignments, and recordkeeping.
