Function Overview:
The Legal team is part of the Legal, Compliance and Controls (LCC) function. The LCC team comprises lawyers, compliance and governance professionals who serve Nomura's business across Investment Banking, Global Markets, Corporate and International Wealth Management divisions.

The International Wealth Management business has booking centres in Singapore and Hong Kong, as well as a trust company incorporated in Singapore.

Job Responsibilities:
The legal counsel will provide legal and transactional support to the International Wealth Management business division. The legal counsel will report directly to the Head of Legal, International Wealth Management.

Scope of work includes the following:

• Reviewing and drafting of client documentation related to account-opening and asset transfers, e.g. board resolutions, LPOAs, Letters of Undertaking,
• Reviewing and drafting of credit-related documentation, instructing external counsel where necessary e.g. bespoke credit facility letters, security documentation, foreign-law share pledges
• Advising on wealth management product documentation e.g. OTC derivative confirmations, structured note term-sheets
• Reviewing external counterparty agreements e.g. brokerage agreements, fund distribution agreements, referral agreements, non-disclosure agreements
• Advising on resolution of client complaints and reviewing or drafting of client letters
• Advising the Nomura trust company on legal issues around new trust structures
• Providing strategic legal advice to IWM management on creative solutions to meet new business and regulatory requirements

Job Requirements:

• Qualified lawyer in Singapore or Hong Kong
• At least 5 years' PQE in private practice or in house legal environment
• Experienced in Banking regulatory requirements (i.e SFA, Banking Act, MAS, SFC, HKMA regulations)
• Experience in both legal and regulatory risk associated with banking business
• Able to articulate legal issues, risks, complex concepts and the commercial implications of a recommended course of action in a clear and concise manner
