An established industry player is seeking a skilled legal professional to join their dynamic team. This role involves drafting and negotiating commercial contracts, providing corporate advisory support, and ensuring compliance with legal standards. Roles and Responsibilities
Draft, review, and negotiate a variety of commercial contracts, including NDAs, vendor/supplier agreements, service agreements, license agreements etc. conduct legal research on the relevant laws and regulations
Support and provide advice on corporate advisory works, strategic investment and cross-border M&A exercise, including draft, review and negotiate term sheet, SPAs, SHAs, JVAs etc.
Provide pragmatic solutions using legal and commercial judgement to business units ensuring projects are carried out with proper legal/ compliance risk analysis through due diligence (with both internal stakeholders and external counsels)
Engage and provide direction to business units with regard to deal structuring, regulatory matters, risk mitigation and legal strategies and provide healthy challenge to business units on the viability of projects
Support compliance team to mitigate any compliance risks that the company faces, including policy makings, compliance trainings and compliance investigations
Support corporate governance activities, including maintaining company records, contract management, assisting with corporate secretary matters, and handling regulatory filings.
Manage relationships with business units and external counsels on legal & compliance matters, including cross-border transactions and regulatory matters
Support special projects or other compliance/risk management initiatives as needed
Requirements
Bachelor of Laws (LL.B) or Juris Doctor (J.D.) degree from a recognized institution, preferably with qualification to practice law
2 years’ or more experience in private practice/ in-house legal team, with expertise in corporate, contracts, M&A or related practices
Strong understanding of corporate, commercial and contracts laws.
Ability to work independently and collaboratively as part of a team
Good fact finding skills
Good communication and organizational skills
Experience in shipping or related industries is a plus
