The Company

A diversified commodities conglomerate headquartered in Singapore is seeking a banking and finance lawyer to join its in-house legal function. The organisation spans several key sectorsnatural resourcesand renewable energy, with operations across Asia, Latin America, and Europe. With strong profitability and an ambitious growth trajectory, the business is known for its active involvement in cross-border financing and large-scale capital investments.

The legal function operates as a centre of excellence, housing domain experts across multiple legal disciplines. This role sits within the group legal team and supports strategic finance initiatives globally. The position offers exposure to complex financing transactions, engagement with treasury and financial controllers, and the opportunity to contribute to a high-performing, collaborative legal environment.

This is a replacement position arising after a long-serving lawyer's departure post bonus cycle. It offers long-term career potential, with scope for leadership responsibilities in the future.

Responsibilities

  • Provide legal advice on a wide range of financing activities, including bilateral and syndicated loan facilities, project funding, trade finance, guarantees, and credit support arrangements.
  • Review, draft, and negotiate transactional documents such as facility agreements, intercreditor and security agreements, amendments, and waivers.
  • Support the Group's project finance initiatives across its business lines, particularly those involving energy and infrastructure.
  • Collaborate with internal stakeholdersincluding Treasury, Finance, and Strategy teamson funding structures, compliance with debt terms, and banking relationship management.
  • Advise on refinancing, debt restructuring, and capital optimisation strategies at the corporate level.
  • Manage relationships with external legal counsel across multiple jurisdictions and coordinate legal support for multi-country transactions.
  • Track regulatory and legal developments in banking and financing law across key markets and communicate relevant changes to internal teams.
  • Prepare and maintain intercompany financing agreements in compliance with tax, transfer pricing, and accounting standards.
  • Engage in lender negotiations and contribute to discussions on financial covenants and loan performance metrics.

Requirements

  • Legally qualified in a common law jurisdiction
  • 8 PQE upwardsin banking and finance either from private practice or in-house background.
  • Strong grasp of loan documentation frameworks, including syndicated financing, security structures, and intercreditor dynamics.
  • Able to independently manage complex matters, exercise sound judgement, and communicate legal risk clearly.
  • Organised, detail-oriented, and capable of handling multiple priorities in a fast-paced, deal-driven environment.
  • Collaborative mindset and willingness to contribute to a team-oriented culture.
  • High level of professional integrity and discretion when handling sensitive information.
