A leading company in the energy sector is looking for a Contract Manager to oversee the drafting, review, and maintenance of contracts for crude oil and LNG trades. The ideal candidate will have substantial experience in contract management within trading environments and will ensure compliance with relevant laws. This role involves collaboration with cross-functional teams, risk management, and refining contract processes to support the company's strategic objectives.
Job Purpose
Leads the drafting, review, and maintenance of trading agreements for physical crude oil, petroleum/refined products, and LNG, ensuring the highest standards of legal and commercial integrity. Provides comprehensive contract advice and guidance to trading teams and stakeholders across multiple regions, proactively safeguarding the company’s interests. Demonstrates strong leadership by supervising, mentoring, and developing junior team members, fostering a culture of excellence and continuous improvement. Collaborates closely with cross-functional teams—including trading, legal, operations, credit, and back-office functions—to drive effective contract management, resolve complex issues, and support the company’s strategic objectives.
Principal Accountabilities
Contract Drafting, Review, and Maintenance
· Draft sale contracts and review purchase contracts for physical oil trades, ensuring minimal overall transaction risk/exposure, timeliness, and legal certainty in all contractual correspondence.
· Manage the contract lifecycle from inception to execution, including amendments and renewals.
· Provide general oil contract advice to trading teams in Singapore, London, and Dubai.
· Apply knowledge of INCOTERMS and General Terms and Conditions (GTCs) (e.g., BP, Shell, ADNOC) in the preparation and negotiation of contracts.
· Maintain and update standard contract templates relating to various INCOTERMS and relevant trades.
· Ensure proper record keeping of contractual documents and correspondence for ease of extraction when required.
· Maintain a robust contracts register and ensure compliance with control processes.
Stakeholder Engagement and Support
· Work with traders to promote accurate and timely contract processes; develop strong front office relationships and provide contractual (pre- and post-deal) support; collaborate with other teams to prevent and/or mitigate issues that may arise.
· Assist and advise relevant teams in negotiating more complex contractual arrangements, liaising with Legal as necessary.
· Liaise with various stakeholders, including operations, demurrage, mid-office, credit, settlements, and back-office, to resolve any departure from agreed contractual obligations.
Risk and Issue Management
· Review terms and conditions to highlight contractual risks to traders/operations, liaising with Legal and other stakeholders as necessary.
· Take responsibility for the escalation of contractual issues through to resolution.
· Proactively support new trade opportunities and advise on new regulatory frameworks and legal restrictions, which may involve changes to existing procedures or support processes.
· Promptly report and resolve any data or term mismatches within back-office systems and any other sources of information relevant to the trade.
· Understand compliance issues affecting relevant trades and report any potential problems to the Head of Credit & Contracts.
Compliance and Legal Oversight
· Ensure that all contracts comply with relevant laws, including those of England and Wales, Singaporean legal standards, and relevant industry regulations.
· Stay updated on changes in laws and regulations that may affect contract terms and trading practices.
Tender Management
· Develop all tender participation documents as instructed by traders.
· Highlight tender requirements to traders.
· Ensure all tender participation documents are sent within the submission deadline.
· Maintain proper records of tender participation documents and correspondence for ease of extraction when required.
Process Improvement and Technology
· Leverage ETRM (Energy Trading and Risk Management) system capabilities to generate contracts and/or required information to complete contracts.
· Leverage technology to improve contract management processes.
· Analyze and provide feedback on contract management matters.
· Discuss process improvements with the Head of Credit & Contracts as and when required.
Trading System
· Ensure contractual terms are entered correctly by traders in the Trading System.
· Update the Trading System with contract references and URL links for contract documents.
