Job Purpose/ Overview: He/She is required to provide support to Regional Corporate Support, Legal & Compliance (RCSLC) division, which the team will work not only with our group companies in Singapore, but also Japan Headquarter and group companies in Southeast Asia and Oceania. He/She will be responsible for administrative tasks of the team and corporate management related matters in our company, which is one of the companies under Region Corporate Management while plays its regional office role.
Duties and Responsibilities
Corporate Management and Governance:
- Governance over Group Companies:
- He/She is required to support the team that is responsible for establishing/revising the group company management guidelines continuously, including but not limited to changes in law and headquarters regulation changes.
- Provide support on regular checking exercises with the group companies to ensure their operations and management systems are conducted upon referring to the group management guidelines.
- Assist on group approval systems that should be followed by the group companies and its adoption for respective material business matters (e.g., Change of directors, investment, dividend arrangement, etc.).
- Assist on coordination with group companies for respective corporate profile updates.
- Monitoring on Group Companies:
- Provide support in establishing procedures for periodically checking and reporting on the group of companies’ business operations (i.e. Organization charts, headcount report etc.) and financial performance ensuring that it is in line with the approved Business Plan.
- Provide support to establish/clarify the procedures of their reports, follow up with the group of companies if deviations from the Business Plan are detected in their financial and non-financial performances.
- Responsible for updating and maintaining filing and repository.
- Budgeting/ Financial Performance:
- Provide assistance for preparing and verifying the Budget and forecast and cost allocation of each department/division, under supervision of superiors.
- Assist on financial performance monitoring (i.e. Budget vs Actual, dedicated project cost control, and Balance Sheet etc.).
Legal and Compliance:
The team is responsible for ensuring and confirming that all important internal rules of the Group have been prepared and adherence to group policies, regulatory requirements, industry standards, and ethical practices within the region.
- Maintenance of Internal Rules and Policies:
- Manage the administration and upkeep of the company policies, assist superiors to facilitate companywide deployment of launched policies and procedures. This includes policies implementation, governance, and compliance activities in our company with superiors including establishing disciplinary measures to prevent future compliance breaches, where appropriate.
- Assist superiors to develop comprehensive training materials and deliver effective in-person compliance training sessions to employees.
- Meeting/Committee Management:
- Administering and organizing meetings of the group companies and our company (e.g.: Board of Directors Meetings, Shareholders’ Meeting, etc.).
- Prepare draft minutes of attended meetings and responsible for minutes filing.
- Legal Management:
- Aid with collaboration with group companies on liaising with external legal counsel.
- Review contracts and other legal documents, under supervision of superiors.
- Safeguard post-signature tracking and ensure proper filing.
Requirements:
- Diploma/ bachelor’s degree in business, corporate governance or related field.
- 3-5 years of experience in corporate support, legal & compliance. Candidates with limited relevant experience are welcome to apply.
- Knowledge of Companies Act and other regulations applicable in Singapore.
- Experience in the implementation of an organization’s policies and compliance principles & frameworks related work.
- Good interpersonal skills.
- Good organization and follow-up skills, set priorities and meet deadlines.
- An open-minded and hands-on person who easily adapts to a fast-paced environment and the ability to work independently and collaboratively in a fast-paced environment.
