Job Objective:
To ensure the company complies with statutory and regulatory requirements and maintains high standards of corporate governance. The Corporate Secretary plays a key role in supporting the board of directors, managing corporate records, and ensuring effective communication between stakeholders.
Key Responsibilities:
- Act as the company’s named Corporate Secretary in accordance with statutory requirements.
- Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
- Take accurate minutes of board meetings and ensure timely distribution and follow-up on action items.
- Ensure the company complies with its statutory obligations under applicable laws (e.g., Companies Act, SGX Listing Manual, etc.).
- Maintain and update statutory books, including registers of members, directors, and secretaries.
- File necessary documents with regulatory authorities such as ACRA and IRAS.
- Provide guidance to directors and management on corporate governance matters.
- Draft board resolutions and ensure proper documentation of corporate decisions.
- Manage corporate filings for company incorporation, changes in directors, share transfers, etc.
- Liaise with external regulators and advisers, such as lawyers and auditors.
- Oversee the preparation and filing of the company’s annual returns and financial statements.
- Ensure compliance with internal policies and facilitate training on governance and compliance topics.
- Support due diligence and documentation for mergers, acquisitions, and restructures.
Qualifications & Requirements:
- Bachelor’s degree in Law, Business Administration, or a related field.
- Chartered Secretary qualification (e.g., ICSA or SAICSA) preferred.
- At least 5 years of experience in a corporate secretarial role, preferably in a public listed or multinational company.
- Strong knowledge of Singapore corporate law, regulations, and governance practices.
- Excellent written and verbal communication skills.
- High level of discretion, integrity, and professionalism.
- Strong organizational and multitasking abilities.
- Proficient in Microsoft Office and relevant secretarial software.
