- Role: Group Legal Counsel
- Basic Salary + AWS + Performance Bonus

Requirements:
- Degree in law (LLB) in university and called to the Singapore bar.
- Min 8-12 years of experience’ in either a law firm or as a legal counsel, preferable experience covered from trading & distribution, property development, construction related.
- Expertise in mergers and acquisitions, general corporate law, knowledge of and litigation.
- Able to travel to Malaysia [ Penang, Johor, KL ] with Managing Director for M&A jobs.
- Assist company to set up legal team as currently using outsource legal services, in future will hire junior / executive for the team to support the team.
- Company is a holding that coverage subsidiaries from trading, metal & steel distributor, construction and real estate management and so on, prefer someone with related legal experiences in those field.
Job Scopes:
Position holder provides legal advice and legal guidance regarding all aspects of Singapore law and various applicable laws, regulations, and Company rules.
- Legal advisory work: advising the Group’s business departments, Managing Directors of Affiliates, traders, in drafting legal opinions, drafting, reviewing, and negotiating commercial contracts, developing and/or updating relevant templates and standard Terms & Conditions for all businesses in Singapore.
- M&A : leading the legal assistance on business development activities (establishment of new JVs, divestments, acquisitions of shares of assets), assisting, advising and negotiating alongside with the business, finance and tax teams and ensuring the drafting and reviewing of all the corporate transactions, preparing legal notes and coordinating with risk/ compliance, tax and finance teams to consolidate a comprehensive legal and compliance opinion.
- Corporate Secretarial : in charge directly or supervising i) incorporation of companies, corporate secretarial, business registration, renewal matters ii) all formalities in relation to board and shareholder meetings and formalities, ensuring compliance with applicable laws on corporate secretarial matters
- Regulatory : drafting, reviewing and evaluating internal policies
