Job description

Job Purpose:

  • He/She is responsible for overseeing the legal affairs of the organization (regional office), group’s companies within Singapore and group companies in Southeast Asia & Oceania region.
  • This role acts as an in-country (Singapore) legal advisor to management teams, operational units, and corporate functions.

Job Duties and Responsibilities:

Legal and Compliance

The division is responsible for ensuring and confirming that all important internal rules of the Group have been prepared and adherence to group policies, regulatory requirements, industry standard and ethical practices within the region.

(Commercial Legal)

  • Legal Advisory (*in regional office context)
  • Draft, review, and negotiate commercial contracts, agreements and legal documents for local business operations.
  • Offer legal support and advice for day-to-day business activities, commercial projects and cross-border transactions.
  • Offer legal advice and support to management and various departments/ divisions on a broad range of corporate, commercial, regulatory and operational matters.
  • Support business units in identifying legal risk, developing mitigation strategies and facilitating sound decision-making processes.
  • Manage and coordinate dispute resolution matters, including liaising with external counsel for litigation, arbitration or settlement negotiations.
  • Manage local legal disputes, claims and regulatory inquiries, coordinating with external counsel when necessary.
  • Ensure business operations and commercial activities comply with relevant trade, competition, and sector-specific regulations.

(Corporate Legal)

2. Regulatory Compliance Support and Management

  • Develop, update and implement internal policies and group compliance programs within local operations.
  • Ensure group companies comply with applicable local laws and regulations, including those relating to economic sanctions related matters, competition laws, and industry-specific requirements.
  • Conduct legal and compliance training sessions for employees and management to promote awareness and adherence to relevant regulations.

3. Support Corporate Governance Framework Development

  • Assist in developing and reviewing corporate governance framework, policies and procedures to align with legal requirements and industry’s best practices.
  • Support the implementation of group-level governance standards across local group companies.
  • Promote sound governance practices and adherence to the group’s ethical standards and policies.

4. Transactional & Project Support

  • Offer legal support for corporate restructuring, M&A transactions, joint ventures, or business transfers affecting group companies within the region.
  • Monitor legislative and regulatory changes, assess their impact on regional offices and group companies, and recommend improvements to compliance programs.
  • Assist in reviewing and advising on cross-border transactions or agreements in collaboration with regional legal teams.

5. Stakeholder & External Counsel Management

  • Serve as the primary legal point of contact for local group companies, liaising with head office legal division (in Tokyo) on legal-related inquiries and issues.
  • Manage engagements with external laws firms including overseeing service quality, cost management and providing instruction on legal matters.

Job Requirement:

  • Bachelor’s degree in economics, level 3 business in the Japan Business Law Examination
  • Minimum eight (8) years’ experience in the global shipping business, with a focus on sales, subsidiary management, legal support and project management in the shipping industry, are preferred.
  • Experience in managing business affiliates companies with global shipping and supporting cross-border M&A matters from a legal perspective are advantages.
  • Strong knowledge and hands-on experience in preparing contracts, particularly vessel Charter Parties and corporate service agreements.
  • Proficient and fluent in both English and Japanese (Written and verbal) to effectively communicate with who are native Japanese speaker in headquarters in Tokyo, Japan.
  • Willing to travel overseas for business trips and open for relocation of reporting office, if required.
  • Solid understanding of corporate, commercial, and regulatory laws, including but not limited to corporate acts, competition laws, anti-corruption laws, sanctions and trade control.
  • Exposure to cross-border legal matters and multi-jurisdiction is a plus.
  • Excellent drafting, negotiation, and communication skills.
  • Strong organizational, problem-solving and leadership abilities.
  • Capable of working independently while managing multiple priorities under pressure.
