Key Responsibilities:

  • Provide specialized legal and regulatory insights across various legal/regulatory domains, including corporate finance, wealth management, and investment management.

  • Carefully draft, review, and negotiate various contracts and agreements, such as investment agreements, partnership agreements, distribution agreements, and financial instruments, ensuring alignment with the company's objectives.

  • Proactively manage and mitigate risks by developing and implementing comprehensive company policies and procedures.

  • Represent the company in legal proceedings, coordinating effectively with external counsel when necessary to uphold the company's interests.

  • Stay informed about evolving laws and regulations in the fintech sector and provide strategic advice to senior management on pertinent legal matters.

  • Develop and maintain robust compliance programs that support the company in adhering to regulatory frameworks.

  • Monitor compliance with applicable laws, regulations, and industry standards, including AML/KYC requirements, data protection laws, and financial regulations, fostering a culture of compliance within the organization.

  • Partner with the department head to conduct regular compliance audits and risk assessments to identify areas for improvement and ensure the timely and effective implementation of corrective measures.

  • Educate and train employees on compliance policies and procedures, promoting a strong understanding of regulatory obligations.

Requirements:

  • LL.B or J.D. from a reputable institution (Singapore/UK/Australia); additional qualifications in finance or business would be an added advantage.

  • A minimum of 4-8 years of legal and regulatory advisory experience in Capital Markets, focusing on Private Equity and Venture Capital, preferably in a fintech or financial services context.

  • Strong emphasis on Private Equity and Venture Capital, with experience in Collective Investment Schemes and fund formation.

  • Comprehensive understanding of the legal and regulatory landscape concerning corporate finance, wealth management, investment management, and fintech operations.

  • Exceptional analytical, problem-solving, and decision-making abilities.

  • Strong communication and negotiation skills, proven ability to convey complex legal concepts effectively.

  • Capability to manage multiple tasks and projects concurrently, demonstrating keen attention to detail.

  • Evidence of adaptability and success in a fast-paced, dynamic work environment.

  • High standards of integrity, professionalism, and ethical conduct.

  • Proficiency in reading, writing, and translating Chinese agreements into English would be an added advantage.
