WS Engineering & Fabrication PTE. LTD. is seeking a lawyer with strong contract review and negotiation skills to manage tender documents, risk assessment, and commercial agreements in Singapore/Malaysia.

The role involves coordinating with Finance, Purchasing, and Project Management to ensure compliance and protect company interests. The successful candidate will handle letters of credit, bonds, and various support agreements, while maintaining stakeholder relationships and directing

Qualifications

  • Contract review experience and capability to identify risk and cost/ delivery impacts.
  • Ability to negotiate and coordinate with multiple stakeholders.
  • Experience with litigation or arbitration is advantageous.

Responsibilities

  • Review tender instructions, terms and conditions and address risk areas, highlighting requirements with cost/delivery impact.
  • Coordinate with Finance and Purchasing to review letters of credit, surety bonds, and vendor qualification forms.
  • Coordinate requirements for surety bonds and parent company guarantee when required.
  • Administer letters of support and other agreements such as distributorship and co-operative agreements.
  • Maintain relationships with customers and suppliers, manage contract enquiries, disputes, variations, and risks; develop negotiation strategies to minimize losses and maximize profits.
  • Work with Project Management Teams to review contracts, draft letters, variation orders and settlements, and negotiate contract variations and disputes.
  • Engage internal and external stakeholders to ensure agreements align with company interests and meet legal/regulatory requirements.
  • Ensure risks are covered by insurance policies and administer these policies.
  • Other ad hoc assignments by the VP, Legal.

Job description

  • Review tender instructions, terms and conditions and ensure that all risk areas are properly addressed as well as highlighting areas of requirement with potential cost / delivery impact.
  • Work together with Finance and Purchasing to review letters of credit, surety bonds, and/or vendor qualification forms to ensure that proper information and corporate requirements are provided or implemented by business units.
  • Coordinate requirements and applications for surety bonds and parent company guarantee when required.
  • To administer, coordinate and review letters of support and other ad hoc agreements such as representative, distributorship and co-operative agreements.
  • Establish and maintain strong business relationships with customers and suppliers including effectively managing contract enquiries, issues, disputes, variations, and risks; and develop and execute negotiation strategies with customers and suppliers as required to minimize potential losses and maximize profits for the company.
  • Work together with Project Management Teams to review contractual matters of the projects, draft and review contract letters, variation orders, settlement agreements and execute meetings and negotiation alongside with Project Management Teams to manage contract variations, disputes, risks, etc.
  • Work closely with relevant internal stakeholders and external stakeholders to ensure agreements are being reviewed and ratified to company's interests.
  • Engage relevant internal stakeholders in negotiation decisions involving legal or regulatory requirements, contract standard and terms and conditions.
  • Ensure that all inherent risks of the division company's activities are covered by policies of insurance (except personnel/workmen based policies) and to administer and maintain these insurance policies.
  • Other ad hoc assignments as may be assigned by the VP, Legal.
Requirements
  • Law degree in recognized university in Singapore/ Malaysia
  • Adept in consumer law, contract law, construction law and commercial law in Singapore/Malaysia
  • At Least 5 years in contract review / commercial contract review
  • Litigation / arbitration experience would be advantageous
