legal Counsel (1 year contract)

• This role reports directly to the Deputy Managing Counsel based in Singapore.
• It involves working closely with regional business teams and projects, balancing risk management with meeting commercial objectives.
• The role includes leading legal review of transactions and projects, and managing daily legal operations, requiring strong organizational and time management skills.

Activities

• Drafting and leading negotiations on contracts related to utility-scale renewables projects (PPAs, supply agreements, EPCs, O&M, guarantees, MoUs, partnership agreements, land agreements, finance agreements, etc.) and transaction documents (M&A, JV). Managing legal due diligence, tender processes, and project follow-up.
• Providing strategic legal guidance to business and project development teams to convert opportunities into operational projects.
• Advising asset management teams to ensure project operations comply with laws, contracts, and policies.
• Anticipating operational legal risks, monitoring, alerting, advising, and proposing solutions.
• Managing relationships with external counsel.
• Conducting legal research and preparing legal memoranda.
• Assessing regulatory and contractual risks, proposing mitigation strategies.
• Interpreting new regional regulations and contributing to monitoring efforts.
• Leading and guiding the legal team on corporate and legal activities.
• Implementing group initiatives, including adherence to policies on HSE, ABC, sanctions, and sustainability.
• Supervising corporate governance for subsidiaries and JVs, including resolutions, delegations, share transfers, and shareholder loans.
• Ensuring business compliance with applicable laws and regulations.

Candidate Profile

• At least 6-10 PQE with regional jurisdiction experience and energy sector background, ideally including law firm experience.
• Experience in EPC, construction, project development, and financing of energy/infrastructure projects.
• Qualified in Singapore or other common law jurisdictions.
• Strong English drafting skills with keen attention to detail.
• Assertiveness, responsiveness, adaptability, autonomy, and initiative.
• Excellent organizational skills and ability to handle multiple projects.
• Negotiation skills with investors, service providers, and authorities.
• Teamwork ability with operational teams and external counsel.
• Ability to produce high-quality work under tight deadlines.
• Strong interpersonal skills in multicultural environments.
