Job summary

Transamerica Life Bermuda in Singapore is seeking a qualified legal professional to provide practical, commercially focused legal and regulatory advice for the Company’s insurance business and operations.

You will draft, review, and negotiate a broad range of contracts, review policy documentation and disclosures, and ensure compliance across marketing materials. Collaboration with Compliance and stakeholders across functions will be essential for global regulatory initiatives.

Qualifications

• Bachelor of Laws (LLB) or equivalent law degree and qualified to practice law in a recognized common law jurisdiction.
• Minimum 3 years' post-qualification experience, preferably in high-net-worth insurance, private wealth, banking, trust or asset management matters.

Responsibilities

• Provide practical, commercially focused legal and regulatory advice to support the insurance business in Singapore.
• Draft, review and assist in negotiating a broad range of commercial agreements (distribution, asset transfer, powers of attorney, custodian and investment management agreements).
• Review policy documents, disclosures and marketing materials to ensure regulatory compliance.
• Support business stakeholders across product, distribution, underwriting, claims and operations on day-to-day legal matters.
• Collaborate with Compliance to implement new regulatory requirements in Singapore and other jurisdictions where relevant.
• Coordinate multiple legal matters and manage reviews and approvals to support timely delivery of initiatives.
• Engage external counsel when needed, including scoping issues and reviewing advice.
• Collaborate with cross-functional teams on cross-border distribution and high-net-worth insurance solutions.

Job description

Provide practical, commercially focused and timely legal and regulatory advice to support the Company's insurance business and operations in Singapore.

Responsibilities

• Support the development, launch and enhancement of insurance products and high-net-worth solutions by identifying, assessing and advising on legal and regulatory considerations. Review policy documentation, policyholder correspondences, and Company disclosures, working closely with other business stakeholders throughout the product lifecycle.
• Draft, review and assist in the negotiation of a broad range of commercial agreements, including distribution agreements, collateral assignment documentation, cross-border asset transfer documentation, powers of attorney, custodian agreements, investment management agreements and other business contracts. Maintain and update templates on a regular basis.
• Assist in identifying, assessing and managing legal, contractual and regulatory risks arising from the Company's business activities, products, services and distribution arrangements.
• Review marketing materials, advertisements, external communications and other customer-facing materials to ensure compliance with all applicable legal and regulatory requirements.
• Provide legal support to business stakeholders across product, distribution, underwriting, claims and operation functions on a day-to-day legal and regulatory matters.
• Collaborate closely with Compliance and other stakeholders to interpret, implement and operationalise new legal and regulatory requirements in Singapore and, where relevant, other jurisdictions.
• Coordinate and manage multiple legal matters and where necessary, stakeholder reviews concurrently, coordinating legal reviews, approvals and implementation activities to support the timely delivery of business initiatives.
• Support the engagement and management of external counsel when required, including coordinating information requests, scoping legal issues, formulating key legal questions and reviewing external legal advice.
• Collaborate with regional and local stakeholders on cross-functional projects involving insurance products, with particular focus on high-net-worth insurance solutions, asset management structures, trust arrangements, cross-border distribution initiatives.
• Assist business stakeholders in identifying, mitigating and managing legal and regulatory risks while supporting the achievement of the Company's commercial objectives.
• Provide support to senior member of the Company's legal team on an ad hoc basis, as delegated from time to time.

Requirements

• Bachelor of Laws (LLB) or equivalent law degree and qualified to practice law in a recognized common law jurisdiction.
• Minimum 3 years' post-qualification experience, preferably experience in the high-net-worth insurance, private wealth, banking, trust or asset management matters would be advantageous.
• Strong legal drafting, contract review and negotiation skills, with the ability to identify and analyse legal and regulatory risks effectively.
• Commercially minded with strong business judgment and an appreciation of practical business considerations.
• Demonstrate a high degree of ownership, initiative, analytical capability and attention to detail, with the ability to manage multiple matters and competing priorities.
• Self-motivated, adaptable and collaborative team player with solution-oriented approach to problem solving.
• Excellent interpersonal, communications & presentation skills.
• Ability to interface effectively with internal stakeholders and external professional partners across different jurisdictions, functions and cultures.
• Able to work independently while knowing when to seek guidance and escalte issues appropriately.
