Legal counsel shall provide a full range of legal, compliance and maritime claim functions as well as other administrative support under the supervision of Head of Administration to ensure the functional operation of the department. The department’s scope includes general affairs, corporate secretary, legal, compliance, and maritime claim.
Primary Responsibilities
- Legal Advisory: Serve as the primary legal advisor on any matter affecting the organization. Provide timely and accurate legal advice to a variety of legal topics such as contract law, maritime law, employment law & etc..
- Contract & Document Management: Oversee the drafting, reviewing, and negotiation of contracts with clients, vendors, partners, and other relevant parties to ensure the organization's interests are protected. Manage and maintain records of all contracts, agreements, and other legal & administrative documents.
- Litigation Management: Manage any litigation and disputes involving the organization, including selecting, appointing, and working with external legal counsel to resolve issues in a manner that protects the company's interests.
- Regulatory Compliance: Monitor and ensure compliance with all applicable laws, regulations, and guidelines. This includes staying updated on regulatory changes and implementing necessary internal controls and procedures to ensure compliance across the organization. Report and initiate the immediate corrective actions as described in the guidelines when non-compliance and/or concern is found.
- Ethics and Governance: Promote ethical business practices and corporate governance standards within the organization. This includes managing the process for ethical compliance and implementing programs that ensure the organization's adherence to laws, regulatory requirements, and internal policies.
- Maritime claim management: Manage the company’s claims process including communication with the insurers, insured and other relevant parties, and negotiate settlements for and on behalf of the ship owners of the fleet managed by the company when required.
- Risk Management: Identify and evaluate legal risks and opportunities within the business strategy and operations, and propose appropriate actions to mitigate risk and leverage opportunities.
- Stakeholder Communication: Liaise with external regulatory bodies and stakeholders on compliance issues and investigations. This includes preparing and presenting reports to regulatory agencies and board members.
- Corporate secretary: Execute and manage the tasks as required under Company Act and/or its related laws and act.
- Performs other duties as required.
Requirements:
- Licensed Attorney
- Bachelor's Degree, Post Graduate Diploma or Professional Degree in Law or equivalent
- Minimum five years of relevant experience either in private practice or as in-house counsel.
- Able to work under pressure in a fast-paced environment Proficiency with Microsoft Office suite (including Outlook, Word, PowerPoint and Excel)
- Strong verbal and written communication skills, and good writing style
