Job description

Our client, a NASDAQ listed software company is looking for a new legal counsel to join the team, specializing in capital markets and corporate transactions. This is a unique opportunity to play a pivotal role in strategic transactions and corporate initiatives for a rapidly expanding company.

Responsibilities:

  • Provide expert legal advice and support on a wide range of capital markets activities, including public offerings, compliance with listing rules, and ongoing SEC reporting requirements.
  • Lead and advise on M&A transactions, from due diligence and negotiation to integration, both domestically and internationally.
  • Manage corporate governance matters, ensuring adherence to best practices and regulatory obligations.
  • Draft, review, and negotiate various commercial agreements.
  • Collaborate closely with internal business units, senior management, and external counsel across multiple jurisdictions.
  • Identify and mitigate legal risks, contributing to the company's overall risk management strategy.

Requirements

  • Minimum 4-6 years of PQE working at top tier law firms handling Capital Markets, Corporate or M&A, or a dynamic in-house legal department.
  • Experienced in capital raising activities or familiarity with listing rules and regulations is highly preferred.
  • Excellent drafting, negotiation, and communication skills.
  • Proficiency in Mandarin is preferred to effectively liaise with stakeholders in China.
  • Ability to work independently, manage multiple priorities, and thrive in a fast-paced, international environment.
