Job summary

9 SOLAR FINTECH PTE. LTD. is seeking a commercially minded Legal Counsel to support across the company’s operations, focusing on renewable energy and solar projects.

You will advise management on regulatory matters, review and negotiate commercial agreements, and manage legal risks for investments, financing, and corporate transactions. The role involves coordinating with external counsel, advising on governance matters, and tracking regulatory changes to ensure compliance in Singapore.

Qualifications

• Bachelor's degree in law from a recognised university.
• Qualified to practise law in Singapore or another recognised common-law jurisdiction is preferred.
• 3–6 years of relevant legal experience, ideally in law firm or in-house.
• Experience in corporate and commercial law, contract drafting and negotiation is essential.
• Experience in renewable energy or solar sector is advantageous.

Responsibilities

• Draft, review, negotiate and advise on a wide range of commercial contracts and legal documents.
• Provide legal advice on corporate, commercial, contractual and regulatory matters.
• Support solar and renewable energy projects, including project-related agreements and financing.
• Assist with corporate transactions including investments, fundraising, financing, restructuring, JV.
• Identify legal risks and provide practical, commercially viable recommendations.
• Ensure compliance with Singapore laws and internal policies.
• Liaise with external lawyers, corporate secretaries, government authorities, financial institutions, insurers and partners.
• Support corporate governance, including board resolutions and approvals.
• Monitor changes in laws and advise on impact.
• Develop and maintain contract management records.
• Assist in managing disputes or regulatory matters with external counsel.
• Provide general legal support and other duties as assigned.

Job Description

We are seeking a commercially minded and detail-oriented Legal Counsel to provide legal support across the Company's business operations, with a focus on the renewable energy and solar industry.

The successful candidate will work closely with Management and various business functions to advise on legal and regulatory matters, review and negotiate commercial agreements, manage legal risks, and support the Company's solar projects, investments, financing activities, and corporate transactions.

Key Responsibilities

• Draft, review, negotiate and advise on a wide range of commercial contracts and legal documents, including NDAs, service agreements, consultancy agreements, EPC contracts, solar project agreements, roof rental/lease agreements, power purchase agreements, financing agreements, introducer agreements, asset transfer agreements and deeds of novation.
• Provide legal advice and support to Management and internal departments on corporate, commercial, contractual and regulatory matters.
• Support the Company's solar and renewable energy projects, including reviewing project-related agreements, land/roof rights, project development arrangements, procurement contracts and other contractual documentation.
• Assist with corporate transactions, including investments, fundraising, financing, restructuring, asset transfers, joint ventures and other strategic transactions.
• Identify and assess contractual and legal risks and provide practical, commercially viable recommendations to Management.
• Ensure the Company's agreements and business activities comply with applicable Singapore laws, regulations and internal policies.
• Liaise and coordinate with external lawyers, corporate secretaries, government authorities, financial institutions, insurers, business partners and other professional advisers where required.
• Support corporate governance matters, including preparation and review of board resolutions, corporate approvals, legal documentation and internal policies.
• Monitor changes in relevant laws and regulations and advise Management on their potential impact on the Company's operations.
• Develop and maintain proper contract management and legal documentation records, including tracking key contractual obligations, renewal dates and important legal deadlines.
• Assist in managing any legal disputes, claims, contractual disagreements or regulatory matters, including coordinating with external legal counsel where necessary.
• Provide general legal support and undertake other legal or compliance-related duties as assigned by Management.

Job Requirements

• Bachelor's Degree in Law (LL.B. or equivalent) from a recognised university.
• Qualified to practise law in Singapore or another recognised common-law jurisdiction is preferred.
• Preferably 3–6 years of relevant legal experience, gained in a law firm and/or as in-house legal counsel.
• Experience in corporate and commercial law, contract drafting and negotiation is essential.
• Experience in renewable energy, solar, infrastructure, construction, project development, financing or investment transactions will be a strong advantage.
• Good understanding of Singapore corporate and commercial laws and regulatory requirements.
• Strong contract drafting, review, negotiation and legal research skills.
• Able to identify legal risks while providing practical and commercially focused solutions rather than purely technical legal advice.
• Strong attention to detail with good organisational and document management skills.
• Able to manage multiple contracts, projects and deadlines independently in a fast-paced and growing business environment.
• Strong written and verbal communication skills in English.
• Able to work effectively with Management, commercial teams, technical/project teams and external stakeholders.
• High level of professionalism, integrity and confidentiality.
