HOSHI TECH VENTURE PTE. LTD. is seeking a seasoned Legal Counsel to support rapid global expansion, drafting and negotiating GPU infrastructure leases, Enterprise SLAs, and MSAs for cloud services, while guiding cross-border data transfer and compliance across regions.
You will partner with Sales, Engineering, and Supply Chain teams, oversee AI governance and data sovereignty, and manage external counsel for international matters, ensuring pragmatic legal advice aligns with business growth.
As Legal Counsel, you will play a central role in shaping the legal framework supporting the company’s rapid global expansion. You will draft, negotiate, and advise on high-value GPU infrastructure leases, enterprise SaaS/IaaS terms, data sovereignty regulations, hardware supply agreements, and strategic partnerships.
This role offers a unique opportunity to lead legal operations at the intersection of sovereign AI, accelerated hardware, and international data privacy law.
Draft, review, and negotiate complex B2B commercial agreements, including GPU Cloud Infrastructure-as-a-Service (IaaS) contracts, Enterprise Service Level Agreements (SLAs), and Master Services Agreements (MSAs).
Partner with Sales and Business Development teams to streamline contracting processes for enterprise clients, research institutions, and hyperscalers.
Stay ahead of regional and global AI regulations (e.g., EU AI Act, Singapore AI Governance Framework, US export controls, and sovereign data directives).
Advise executive leadership on compliance requirements surrounding data sovereignty, cross-border data transfer limitations, and regional infrastructure localization laws.
Negotiate high-stakes contracts with hardware vendors (e.g., GPU/chipmakers, OEM/ODM manufacturers), data center providers, power utilities, and network carriers.
Draft and review procurement, IP licensing, and equipment lease agreements essential for scaling physical cluster deployments.
Manage global data privacy compliance (GDPR, PDPA, CCPA, etc.) applicable to cloud workloads, metadata processing, and platform usage.
Work closely with Information Security and Engineering teams to draft incident response policies and data processing addendums (DPAs).
Provide general legal counsel on corporate governance, IP protection, cross-border corporate structuring, and employment matters.
Manage relationships with outside specialized counsel across key international jurisdictions as the company expands into new regions.
Education & License: Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) with active admission to practice in a major jurisdiction (Singapore, US, UK, or equivalent qualification preferred).
Experience: 4–8 years of legal experience, combining top-tier law firm training and in-house experience at a Cloud Provider (IaaS/PaaS), Data Center operator, SaaS, or high-growth tech platform.
Domain Expertise:
Demonstrated track record drafting and negotiating complex cloud, software, or technology infrastructure contracts.
Strong familiarity with global data privacy frameworks (GDPR, PDPA) and cloud regulatory environments.
Solid understanding of or high aptitude for GPU infrastructure, AI models, and technology import/export controls.
Skills: Excellent negotiation, risk-assessment, and communication skills; ability to translate complex legal issues into pragmatic operational advice for executive and engineering teams.
Direct experience handling hardware deployment contracts, data center co-location leases, or semiconductor vendor agreements.
Prior experience dealing with sovereign cloud requirements, government procurement, or defense/highly regulated industry compliance.
Direct involvement in shaping sovereign AI compute infrastructure on a global scale.
