Job description

Legal Counsel (Indonesia Focus) – Commodities Trading / Investment / Hospitality
Location: Singapore
Industry: Manufacturing, Investment, Trading & Hospitality

Our client is a diversified group with business interests spanning manufacturing, investment, hospitality, and international trade. We are seeking a business-oriented and strategic Legal Counsel with strong expertise in Indonesian corporate and commercial law to support their fast-growing regional operations. The ideal candidate will have a solid legal foundation, an extensive network in Indonesia, and the ability to effectively advise Chinese-speaking stakeholders.

Key Responsibilities
1. Corporate & Commercial Legal Advisory
  • Provide practical legal advice and support across business functions including trading, manufacturing, and hospitality.

  • Draft, review, and negotiate commercial agreements, including trading contracts, investment deals, and joint venture arrangements.

  • Advise on structuring and executing deals in compliance with Indonesian laws and international standards.

  • Clearly explain legal clauses and contract risks to internal stakeholders, especially investors from China.

2. Regulatory Compliance & Legal Operations
  • Ensure full compliance with Indonesian laws and regulations, including investment, employment, environmental, and corporate governance frameworks.

  • Monitor legal developments in Indonesia and proactively update internal teams.

  • Develop internal legal procedures, templates, and compliance frameworks.

3. Risk Management & Dispute Resolution
  • Identify legal and regulatory risks, and recommend risk mitigation strategies.

  • Support in dispute resolution, arbitration, and engagement with external legal counsel when required.

  • Work with cross-functional teams to manage potential exposure related to commodity pricing and international trade.

4. Mergers & Acquisitions (M&A)
  • Assist in legal due diligence and contract negotiations for acquisitions and divestments.

  • Provide support for post-merger integration from a legal standpoint.

Requirements
  • Bachelor’s Degree in Law (LLB) from a recognized university; qualified to practice law in Indonesia preferred.

  • Minimum 3 years of relevant legal experience, ideally in an in-house role within the commodities, investment, or trading sector.

  • In-depth understanding of Indonesian legal systems, business regulations, and market practices.

  • Strong network within Indonesian legal, business, or regulatory communities.

  • Excellent contract drafting and negotiation skills.

  • Business-minded with the ability to balance legal risk and commercial outcomes.

  • Fluent in Bahasa Indonesia, English, and Chinese (Mandarin) to communicate effectively with local, regional teams and Chinese investors.
