Job summary

DADACONSULTANTS PTE. LTD. is seeking an experienced fund lawyer to join its Singapore legal team as a primary counsel for fund structuring and management. You will work at the intersection of traditional private funds and digital asset products, advising on governance and documentation.

You will lead VCC structuring, drafting, and regulatory compliance, coordinating offshore structures with external counsel, and supporting due diligence and governance matters.

Qualifications

• 4–7 PQE in fund law with Singapore qualification or equivalent.
• Deep expertise in Singapore VCCs, structuring, and compliance.
• Strong knowledge of MAS framework for fund managers (SFA, CMS licences).
• Experience with offshore fund structures (Cayman, BVI, Luxembourg).

Responsibilities

• Lead VCC fund structuring, incorporation, and governance — standalone and umbrella structures.
• Draft and negotiate core fund documentation — VCC constitutions, PPMs, LPAs, IMAs, and offering documents.
• Advise on MAS regulatory requirements — CMS licence obligations, Fund Management Code, AML/KYC frameworks.
• Coordinate offshore fund structures across Cayman, BVI, and Luxembourg with external counsel.
• Advise on digital asset fund products, RWA tokenisation structures, and tokenised fund units.
• Support legal due diligence, service provider agreements, and fund governance matters.
