About the Client

Our client is a leading regional provider of corporate and professional services with a strong footprint across Asia Pacific. As the business continues to scale and navigate increasing regulatory complexities, they are seeking a Head of Corporate Affairs and Governance to bolster governance structures, reinforce compliance frameworks, and oversee the nominee director function regionally.

Key Responsibilities

  • Governance & Risk Management: Develop and maintain the Group’s governance framework, ensuring clear segregation of duties and strong internal controls across compliance, CRM, and nominee services.

  • Compliance Leadership: Oversee AML/CFT policy implementation, compliance monitoring, and consistency across jurisdictions; lead internal training and regulatory updates.

  • Nominee Director Oversight: Lead the governance structure and ongoing oversight of nominee director (ND) appointments, ensuring alignment with fiduciary, legal, and regulatory expectations.

  • Fiduciary Supervision: Ensure CRMs acting as nominee directors are well-supported, compliant with mandates, and regularly evaluated.

  • Client Onboarding Oversight: Supervise the onboarding team to ensure accurate and risk-based KYC processes aligned with group policy and legal standards.

  • MSA (Master Service Agreement) Governance: Ensure contracts meet legal, data protection, and business requirements; monitor client compliance and manage risk areas.

  • Internal Controls: Lead efforts in policy development and internal reviews to ensure audit readiness and group-wide procedural consistency.

  • Cross-Border Compliance Alignment: Work closely with compliance teams across multiple jurisdictions to drive regulatory alignment within the Group.

  • Stakeholder Reporting: Provide regular governance and compliance reporting to the CEO and senior management.

  • Culture of Integrity: Promote ethical leadership, professional independence, and a strong compliance-driven culture throughout the organization.

Key Requirements

  • Bachelor's degree in Law, Business, Finance, or related discipline with certifications in compliance or governance (e.g., ICA, CAMS, ICSA) are advantageous.

  • Minimum 10 years of senior-level experience in governance, regulatory compliance, or fiduciary roles, preferably in a multi-jurisdictional professional services or financial services setting.

  • Deep understanding of AML/CFT frameworks, nominee structures, and company law in Singapore and regional markets.

  • Strong track record in leading cross-functional teams and aligning compliance with business goals.

  • High level of integrity, sound judgement, and commitment to ethical leadership and regulatory excellence.
