Job description

The Position

Based in India, the Corporate Paralegal will manage Lumine's corporate governance, compliance, and regulatory affairs in India. Responsibilities include maintaining legally compliant records and minutes for multiple Indian companies, acting as a liaison between Lumine Group's General Counsel and regulators, and supporting corporate secretarial duties.

The Candidate

We seek an experienced, articulate, self-motivated individual with strong organizational skills, attention to detail, and the ability to work independently and collaboratively. The candidate must be a certified Company Secretary with the Institute of Company Secretaries of India (ICSI), possess a solid understanding of Indian and global corporate laws, securities laws, and regulatory compliance, and have at least 5+ years of relevant experience.

Job Duties
  1. Act as a non-executive Director for Lumine's legal entities in India and Asia.
  2. Perform company secretary functions, including organizing board and committee meetings.
  3. Assist in preparing shareholder and board meetings.
  4. Maintain corporate records and minute books.
  5. File forms and returns with the Registrar of Companies.
  6. Advise on corporate governance and compliance matters.
  7. Liaise with external advisors and regulatory authorities.
  8. Ensure legal documentation is accurate and up-to-date.
  9. Monitor legislative and regulatory changes and initiate appropriate actions.
  10. Report to Lumine's General Counsel as needed.
Requirements
  • Bachelor's Degree in relevant fields (communications, business, law).
  • Membership with ICSI.
  • Minimum 5+ years as a corporate secretary or similar role.
  • Strong understanding of Companies Act, 2013, SEBI, FEMA, MCA compliance.
  • Experience with statutory and secretarial audits.
  • Excellent organizational, analytical, and communication skills.
  • Ability to manage multiple projects and meet deadlines.
  • Discretion with confidential information.
  • Ability to work in North American and European time zones and travel as needed.
