Job Summary:The Corporate Finance Origination, Structuring & Advisory Executive will play a pivotal role in the firm's growth by actively identifying, developing, and executing corporate finance mandates. This role encompasses the entire deal lifecycle, from initial client engagement and origination to meticulous financial structuring, comprehensive advisory, and seamless transaction execution. The successful candidate will be a highly motivated and analytical professional with a strong understanding of corporate finance principles, capital markets, and the M&A landscape, particularly within the APAC region.
Key Responsibilities:
- Origination & Business Development:
Proactively identify and cultivate new business opportunities by leveraging industry knowledge, market trends, and networking.
Build and maintain strong relationships with corporate clients, financial sponsors (private equity, venture capital), and other key stakeholders.
Prepare compelling pitch books and presentations to articulate the firm's value proposition and secure new mandates.
Conduct market research and competitive analysis to inform origination strategies.
Represent the firm at industry events and conferences to enhance brand visibility and expand professional networks. - Structuring & Financial Analysis:
Design and tailor innovative financial solutions for clients, including M&A transactions (buy-side and sell-side), equity capital markets (ECM), debt capital markets (DCM), and corporate restructurings.
Develop sophisticated financial models for valuation (DCF, LBO, comparable company analysis, precedent transactions), financial forecasting, sensitivity analysis, and scenario planning.
Perform in-depth financial, credit, and risk analysis of target companies and prospective transactions.
Assess optimal capital structures and financing alternatives for clients. - Advisory & Execution:
Provide strategic financial advice to clients on complex transactions, corporate strategy, and value enhancement initiatives.
Lead and manage all phases of transaction execution, including due diligence, documentation, and negotiation support.
Prepare comprehensive deal-related documents, including information memorandums, management presentations, prospectuses, and legal agreements (e.g., Sale and Purchase Agreements, Shareholder Agreements).
Coordinate effectively with internal teams (e.g., legal, compliance, tax) and external advisors (lawyers, auditors, consultants) to ensure smooth transaction progression.
Facilitate roadshows, investor presentations, and investor outreach efforts.
Manage client communications and expectations throughout the deal process.
Qualifications:
- Bachelor's degree in Finance, Accounting, Economics, Business Administration, or a related quantitative field from a reputable university. An MBA or CFA designation is highly advantageous.
- 12 years of progressive experience in corporate finance, investment banking, financial advisory, or a related role within a reputable financial institution or advisory firm.
- Proven track record of involvement in successful M&A, ECM, or DCM transactions.
- Exceptional financial modeling, valuation, and analytical skills. Proficiency in Microsoft Excel (advanced level), PowerPoint, and financial databases (e.g., Bloomberg, Capital IQ, FactSet) is essential.
- Strong understanding of accounting principles, financial statement analysis, and capital markets.
- Excellent written and verbal communication skills, with the ability to articulate complex financial concepts clearly and concisely to diverse audiences.
