Key Responsibilities
1. Deal Origination & Pipeline Management
- Identify and originate strategic acquisition, investment, and partnership opportunities aligned with the company’s long-term objectives.
- Build and maintain strong working relationships with investment banks, advisors, VCs/PEs, industry players, and internal business units to source quality deal flow.
- Conduct market research, competitor benchmarking, and strategic fit assessments to support origination efforts.
2. Strategic & Financial Evaluation
- Lead the development of business cases, including market sizing, synergy assessment, SWOT analysis, and investment rationale.
- Perform valuation analysis using methods such as DCF, comparable company analysis, and precedent transactions to support deal structuring.
- Prepare investment memos and presentation materials for management and board-level decision-making.
3. Due Diligence & Deal Execution
- Coordinate and oversee financial, commercial, legal, and operational due diligence activities.
- Work closely with internal teams and external advisors (legal, tax, technical, HR, etc.) to assess risks and propose mitigation measures.
- Support negotiation of key deal documents, including term sheets and sale and purchase agreements, in collaboration with legal counsel.
4. Transaction Closure & Regulatory Compliance
- Manage the end-to-end execution of transactions, including regulatory filings (e.g., antitrust, FDI), closing mechanics, and stakeholder communication.
- Ensure all transactions comply with internal governance policies and relevant legal and regulatory requirements.
5. Post-Deal Integration & Synergy Realisation
- Develop and implement post-merger integration (PMI) plans across key functions such as finance, HR, IT, and operations.
- Track realisation of synergies (cost savings, revenue growth, capability enhancement) against original deal assumptions.
- Monitor the ongoing performance of acquired businesses or investments and report on key performance indicators to leadership.
