Company Secretary (Qualified From Institute of Company Secretaries of India)
- Conducting Board, Committee, and General meetings.
- Drafting agendas, minutes, resolutions, Board reports, and annual reports.
- Tracking, implementing, and complying with provisions of Company Law, SEBI Regulations, and other securities laws.
- Formulating, implementing, updating, and monitoring policies under the Companies Act, 2013, and securities regulations.
- Advising on regulatory and legislative changes in Corporate Governance and securities laws, including impact analysis and implementation.
- Interacting with governance and control functions like Compliance and Finance to ensure consistency in records and reporting.
- Maintaining and filing statutory returns/records with the Registrar of Companies.
- Maintaining and updating records and registers under the Companies Act, 2013, including the company website.
- Coordinating with statutory and internal auditors; handling Secretarial Audit.
- Understanding and implementing Group policies and internal codes.
- Engaging with the parent company/group secretarial division on governance matters and managing reporting.
- Ensuring compliance with Prevention of Insider Trading Regulations and other securities regulations.
