Job description

This role reports to our Company Secretary and is integral in providing essential support to the Corporate Secretarial team, working collaboratively to deliver a professional and comprehensive Company Secretarial service to the Dyson Board while ensuring strong corporate and subsidiary governance across the Group.

With responsibilities spanning Board and Board Committee support, global entity management, and corporate governance, this position offers a broad and dynamic scope of legal-administrative duties.

Responsibilities

Corporate Secretarial Support and Compliance

  • Support the team with Board and Committee requirements including scheduling board meetings and preparing and collating meeting and performance packs for the board;
  • Prepare board / directors' resolutions and other corporate secretarial related documents as required to support group companies' needs and requirements, and facilitate execution of corporate documents/resolutions.
  • Liaise with local corporate secretarial service providers, outside legal counsel, notaries, auditors and banks on corporate secretarial and compliance related matters, including: statutory filings (e.g. ACRA), bank account openings, UBO Registers, facilitate XBRL conversions, and statutory audit and Annual Return filings for group companies.
  • Handle KYC and other corporate secretariat related queries from internal and external stakeholders such as banks, service providers, outside legal counsel, suppliers etc.
  • Be responsible for Purchase Order management within the function.
  • Ensure compliance with all relevant legislation / regulations.


General Administrative Support

  • Maintain document repository.
  • Maintain, update and safekeep records of constitutional documents, statutory registers, authorised signatories minutes and resolutions.
  • Schedule DocuSign for company approved documents/contracts.
  • Assist in ad hoc duties / assignments as and when required


Abilities And Characteristics Required

  • Enthusiastic and self-motivated, as well as a strong team player with a keen sense of ownership and initiative.
  • Professional and approachable with a “can-do” attitude, able to work flexibly within the needs of the team.
  • Excellent organisational skills and attention to detail.
  • Demonstrable high level communication and interpersonal skills
  • Be able to work well under pressure, prioritise effectively and meet tight deadlines.
  • Integrity and high ethical standards, with the ability to use tact and diplomacy and handle confidential matters.
  • Strong technical skills – in particular knowledge of and ability to apply company law and similar regulatory materials.


Work Experience Required

  • 1-3 years Experience working in a Company Secretarial or Legal team preferred.
  • Strong working knowledge of Microsoft tools such as, Microsoft Excel, Outlook, Word and PowerPoint.
