The Chief Legal Officer (CLO) role based in Kolkata, India, within the Legal & Compliance department, entails overseeing the legal affairs of the group of companies. Your primary responsibilities will include ensuring compliance with statutory and regulatory requirements, providing strategic legal guidance to management, and minimizing legal risks. As the CLO, you will act as a trusted advisor to the board, CEO, and senior executives, ensuring all business practices, policies, and dealings comply with applicable laws and regulations.
Your key responsibilities will involve developing and leading corporate legal strategy, advising on corporate strategies and risk management, and overseeing legal aspects of mergers, acquisitions, joint ventures, and other strategic partnerships. Additionally, you will ensure full compliance with corporate, financial, labor, and regulatory laws, manage corporate secretarial functions, and monitor regulatory developments to implement compliance frameworks effectively.
In terms of contract and agreement management, you will review, draft, and negotiate major commercial contracts, standardize contract management processes, and oversee litigation, arbitration, and regulatory proceedings. You will also identify potential legal risks in business processes, lead internal investigations, and establish relationships with regulatory authorities, law firms, and external consultants.
Qualifications for this position include an LLB/LLM from a reputable law school, with a CS (Company Secretary) qualification considered advantageous. A minimum of 15-20 years of relevant experience, including at least 5 years in a leadership role within a multi-entity corporate setup in Eastern India, is required. A proven track record in managing complex legal, regulatory, and compliance issues across various industry verticals, along with sound knowledge of Indian corporate law, commercial law, real estate law, and regulatory frameworks, will be beneficial.
Key skills include strong leadership and strategic thinking, excellent negotiation, drafting, and communication skills, high integrity and ethical standards, the ability to handle complexity and work under pressure, and a solid understanding of business dynamics in India. Exposure to international legal frameworks is an added advantage.
