Role Main Purpose This role is responsible for overseeing and managing Kidana’s governance framework and for developing and implementing governance programs, and providing guidance to stakeholders.
Functional Responsibilities
- Design, implement, and maintain Kidana’s governance framework, ensuring alignment with legal, regulatory, and organizational objectives.
- Establish and enforce governance policies, procedures, and standards, ensuring clarity, accessibility, and compliance across all levels.
- Conduct periodic reviews of governance documents, updating them in response to regulatory changes, industry best practices, and organizational needs.
- Communicate governance expectations effectively to stakeholders, ensuring awareness and adherence through training, documentation, and leadership engagement.
- Develop and implement initiatives to embed ethical values (e.g., integrity, transparency) across the organization.
- Design and maintain governance policies related to ethical conduct, conflict of interest, and whistleblowing.
- Collaborate with HR and leadership to integrate ethics into training programs, performance metrics, and corporate communications.
- Monitor and report on adherence to ethical standards, recommending improvements where needed.
- Develop engagement strategies to ensure stakeholder voices inform governance decisions (e.g., surveys, forums, advisory panels).
- Prepare public-facing governance reports (e.g., sustainability disclosures, ethics statements) to enhance transparency.
- Address stakeholder concerns related to governance practices, ensuring timely and principled responses.
- Research and benchmark global governance standards (e.g., ISO 37000) to align internal practices.
- Advise leadership on governance trends, particularly in ethics, stakeholder capitalism, and social responsibility.
- Track and analyse emerging ESG (Environmental, Social, Governance) expectations from stakeholders.
- Partner with Legal, HR, and Sustainability teams to ensure governance policies reflect ethical and stakeholder priorities.
- Support internal audits of governance practices (excluding compliance/risk reviews).
Leadership Responsibilities
- Oversee workforce planning and talent acquisition strategies, reports, figures, and budgets of risk to ensure adequate staffing levels aimed at contributing to the achievement of the strategic objectives of Kidana.
- Set performance management objectives based on risk KPI’s and performance targets for all reporting team members and perform mid-year and year-end performance reviews.
- Direct the identification of talent for pivotal roles in coordination with the Human Capital Department from a succession management standpoint.
- Take decisive action to ensure speedy resolution of unresolved grievances or conflicts among team members.
Educational Qualifications: A Bachelor’s or Master’s degree in Business Administration, Finance, Corporate Governance or related field.
Professional and Technical Certificates (Preferred Only): GRC Professional, Certified Regulatory Compliance Manager, Certified Information Privacy Professional, Certified Compliance and Ethics Professional (CCEP).
Professional Experience: A minimum of 10+ years of experience in compliance, governance or related fields is preferred.
