Job description

As a Legal Counsel, you will directly report to our Group General Counsel and work closely with our group legal team to play a pivotal role in ensuring legal compliance and providing legal guidance across various aspects of our business in KSA, including commercial contracts and transactions, litigation matters, and employee relations. You will be responsible for overseeing, advising on, and managing legal matters to support our company's goals and objectives.

Responsibilities:
  • Review, draft, and negotiate a wide range of commercial contracts, agreements, and transactions, including but not limited to supplier/vendor contracts, licensing, software and consultancy agreements, and general business and office-related contracts.
  • Deal with day-to-day operations of the KSA business with regard to risk and general corporate and commercial issues.
  • Provide legal support to various departments, offering guidance on legal matters related to business development, mergers and acquisitions, and other strategic initiatives.
  • Draft, curate and continually improve the company’s legal precedents and policies while keeping other departments informed and educated on their contents and any key developments.
  • Conduct legal research and keep up to date with relevant laws, regulations, and industry trends affecting the company’s commercial activities.
  • Manage external legal firms as required in relation to litigation matters, including litigation strategy, dispute resolution, and court appearances.
  • Evaluate potential litigation risks and provide proactive advice to mitigate legal exposure.
  • Maintain accurate records of legal actions, settlements, and court proceedings.
  • Assist in resolving employment disputes and represent the company in negotiations with employees, unions, or regulatory authorities when necessary.
  • Stay updated on labour laws and regulations to ensure company policies and practices remain compliant.
  • Monitor changes in laws and regulations that impact the company's operations, handle regulatory issues and provide guidance on compliance efforts.
  • Conduct legal audits and assessments to identify and address compliance issues, working closely with relevant departments to implement necessary changes.
  • Assess legal risks associated with various business activities and advise on risk mitigation strategies.
  • Develop and implement legal policies and procedures to minimise legal exposure and promote compliance within the company.
  • Maintain accurate and organised legal records and documentation.
  • Prepare regular reports and updates for senior management and the Group General Counsel on legal matters, the status of ongoing cases, and key legal risks.
Requirements:
  • 5-7+ years of post-qualification experience.
  • Relevant technical expertise (private practice or in-house) in a similar role.
  • Familiarity with the legal system of KSA, with local experience preferred.
  • Proven background in commercial law.
  • Expertise in drafting, reviewing and negotiating commercial contracts.
  • Familiarity with dispute resolution processes, including litigation and arbitration.
