Job description

Job Purpose:

The Legal Counsel’s main responsibilities include performing a variety of legal tasks daily, such as handling correspondence, preparing contracts, managing commercial and labor litigation, lawsuits involving the company, contract disputes, and class actions. The role also involves representing the company before courts in governmental, semi-governmental, and private sectors, as well as providing legal consultations.

Functional Accountabilities:

A. Legal Advisory

  • Providing general legal advice, including legal opinions and research on various issues such as disciplinary, contract, association, governance, risk management, and contentious matters.
  • Responding to all legal requirements and providing legal advice and analysis.
  • Offering consultations on internal cases to support and guide the organization.
  • Ensuring compliance with internal controls, statutory regulations, and formalities.
  • Keeping up-to-date with changes in relevant laws and contributing to the legal knowledge base of the company.
  • Ensuring quality in legal advice sessions and outreach activities.

B. Litigation

  • Attending court hearings and updating case information.
  • Representing and defending the company in all types of legal cases.
  • Representing the company in courts of all levels, especially courts of first instance.
  • Preparing and presenting legal arguments and memoranda.
  • Drafting memoranda of claim.
  • Coordinating with external lawyers and law firms representing the company.
  • Taking legal action against employees violating company rules.
  • Implementing judicial decisions internally and externally.
  • Knowing all defense strategies when defending the company.
  • Preparing legal memos, appeals, and letters for court or authorities, with approval from senior legal staff.
  • Maintaining case files and ensuring documentation is properly stored.
  • Recording and reporting litigation activities, communications, and trends to senior legal counsel.
  • Handling notarization and extraction of title deeds from notaries.

C. Contracts & Documentation

  • Developing, assessing, and negotiating contracts, consulting, service agreements, and commercial documents.
  • Ensuring contract terms comply with laws, regulations, and internal policies.
  • Reviewing contracts from departments, suppliers, and clients.
  • Negotiating contracts to mitigate risks.
  • Collaborating with legal teams and business units to develop contract strategies.
  • Improving contract review processes and workflows.
  • Reviewing contracts to ensure legal standards are met.
