Job Purpose / Objective

The Legal Associate is responsible for providing legal support and guidance to the Senior Executive at Makeen in various corporate legal matters. This role will primarily focus on ensuring compliance with applicable laws, regulations, and standards within the marine industry and assisting with the company's corporate governance and business transactions.

Key Accountabilities

Corporate Compliance:

• Monitor and ensure compliance with laws, regulations, and industry standards related to the marine engine manufacturing business. Stay updated with industry developments and advise management on legal requirements and potential risks.

Contract Management:

• Draft, review, negotiate, and finalize various agreements, including vendor contracts, sales agreements, distribution agreements, licensing agreements, and other legal documents related to the business operations. Ensure contracts comply with legal requirements and protect the company's interests.

Corporate Governance:

• Assist in managing the company's corporate affairs, including maintaining corporate records, drafting resolutions, preparing board meeting materials, and ensuring compliance with corporate governance principles and procedures.

Intellectual Property:

• Work closely with internal stakeholders to identify and protect the company's intellectual property rights, such as trademarks, patents, and copyrights. Conduct intellectual property searches, file and defend applications, and handle related legal proceedings when necessary.

Risk Management:

• Identify legal risks and collaborate with relevant departments to develop risk mitigation strategies. Advise management on potential legal implications of business decisions and recommend appropriate measures to minimize risks.

Regulatory Compliance:

• Stay updated with relevant laws and regulations governing the marine engine manufacturing industry, such as environmental regulations, product safety standards, and trade compliance. If required, provide guidance on compliance requirements and support internal audits and investigations.

Dispute Resolution:

• Assist in handling legal disputes and litigation matters, including case assessment, coordination with external counsel, and managing discovery processes. Support dispute resolution strategies, such as negotiation, mediation, and arbitration, to reach favorable outcomes for the company.

Requirements

Education: Bachelor of Laws (LLB) or Juris Doctor (JD) from a reputable university.

Professional Qualifications:

  • Admission to the bar association or eligibility to practice law in the relevant jurisdiction.
  • Project Management Professional (PMP)

Technical Competencies:

  • Prior experience in corporate law, preferably in the manufacturing or marine sectors.
  • Knowledge of marine industry regulations and standards is desirable (Mercantile Laws).
  • Strong understanding of corporate governance principles.
  • Excellent drafting, negotiation, and communication skills.
  • High attention to detail and ability to manage multiple tasks simultaneously.
  • Analytical and problem-solving abilities to assess legal risks and propose practical solutions.
  • Ability to work independently and collaboratively in cross-functional teams.
  • Strong ethical standards and commitment to maintaining confidentiality.
  • Excellent MS Office Suite and PM Tools.

Experience; 3–5 years of experience as a Legal Associate or a practicing Corporate Lawyer within internal combustion, marine, and/or power generation engines and equipment.
