Position Summary
The Senior Manager, Corporate Secretariat & Office of the CEO is a mission-critical dual-function leadership position within ITFC, responsible for managing the full operational, strategic, and governance scope of the CEO’s Office. This includes serving as the institutional focal point for Board governance and shareholder relations while ensuring the CEO’s Office functions with optimal efficiency, confidentiality, and alignment to the organization’s strategic goals.
The role merges high-level executive coordination, multi-stakeholder engagement, and fiduciary responsibility for ITFC’s governance architecture, including the Board of Directors, its standing committees (Audit, Risk & Compliance, Executive Committee), and the General Assembly. It demands a technically proficient and institutionally seasoned professional capable of managing governance protocols, corporate secretariat procedures, mission-critical workflows, and stakeholder interfacing within the framework of a multilateral development bank.

- Corporate Secretariat & Governance Oversight
- Act as the designated Secretary to ITFC’s Board of Directors, Board Committees, and General Assembly, ensuring strict compliance with ITFC’s legal framework, Governance Manual, and relevant policies.
- Lead the end-to-end planning, documentation, and facilitation of all Board and Committee meetings, including agenda formulation, briefing packages, resolutions, and meeting minutes.
- Ensure timely review and legal clearance of all governance-related documentation in close coordination with the Legal Department.
- Maintain an accurate and secure archive of institutional decisions, official records, voting registers, and shareholder communications in accordance with international standards for document governance.
- Coordinate closely with the IsDB Group Secretariat on matters related to joint governance, Annual Meetings, and General Assembly preparation.
- Monitor changes in governance regulations and recommend updates to institutional policies, charters, and terms of reference to ensure continued compliance and relevance.
- CEO Office Management & Strategic Support
- Oversee the full spectrum of the CEO’s operational environment, including time management, strategic scheduling, institutional correspondence, mission planning, and briefing logistics.
- Manage the development of high-impact communications on behalf of the CEO—including executive briefs, official letters, presentations, public statements, and speeches.
- Supervise and guide administrative personnel (e.g., Executive Assistants), ensuring seamless daily operations, meeting readiness, and mission preparation at an executive standard.
- Establish and manage standard operating procedures (SOPs), institutional tracking systems, and strategic dashboards to support CEO visibility and decision-making.
- Serve as the primary interface between the CEO and internal/external stakeholders, triaging high-priority requests and ensuring timely institutional response and alignment.
- Oversee protocol management, official travel arrangements, and coordination of high-level engagements including Board field visits, strategic forums, and OIC-level summits.
- Institutional Alignment & Strategic Coordination
- Act as the central coordination node between the CEO and all ITFC departments to ensure that directives are understood, operationalized, and tracked across functions.
- Monitor the implementation of decisions emerging from the CEO’s Office and governance bodies, ensuring clear accountability, reporting cycles, and escalation mechanisms.
- Develop and maintain a confidential strategic log of key issues, high-risk areas, and institutional bottlenecks requiring CEO or Board attention.
- Facilitate the planning and execution of internal strategic alignment meetings, knowledge exchange sessions, and special initiatives that support the CEO’s leadership agenda.
Qualifications & Competencies
Education & Professional Certification
- Master’s degree in Law, Public Administration, Business Administration, Corporate Governance, or a related discipline from a recognized institution.
- Professional certification in governance or board secretariat practices (e.g., ICSA, GNDI, IFC Corporate Governance Program) is highly desirable.
Experience
- Minimum 6 years of progressive leadership experience in governance, executive office management, or corporate secretariat functions—preferably within a multilateral development bank, financial institution, or international organization.
- Proven track record in managing high-level Board processes, strategic planning workflows, and institutional coordination at an executive level.
Technical Knowledge & Skills
- Deep knowledge of corporate governance frameworks, board dynamics, compliance standards, and fiduciary principles in international institutions.
- Advanced drafting, editing, and documentation skills suitable for CEO- and Board-level communications.
- Solid understanding of development finance, OIC mandates, shareholder relations, and policy environments relevant to multilateral finance institutions.
- Familiarity with institutional archiving systems, knowledge management, and digital governance tools.
