Job Summary:
Establish a clear over-riding governance framework which defines how the organization’s Corporate Governance Documents are established, developed, reviewed, maintained, updated and approved as per Corporate Governance and regulatory requirements. Oversee all legal and Corporate Governance activities of the company in alignment with the shareholders guidelines and objectives.
Job Duties & Responsibilities:
- Update of the governance framework which defines the Corporate Governance Frameworks and policies to ensure compliance with company needs best practice and regulators’ requirements.
- Conduct corporate governance gap analysis and maturity assessment.
- Support in tracking governance documents’ versions, amendments and authorization bodies and timing for all scope governance frameworks and policies.
- Practice an open transparent and constructive relationship with regulators to ensure prompt awareness of regulatory requirements and changes related to corporate governance.
- Guide the company to comply with its corporate governance disclosure obligations with regulatory agencies.
- Oversee all corporate governance related communications with regulatory agencies for all applicable regulations, issued circulations and prospective regulations that will be issued in the future on corporate governance.
- Update all regulatory related documents on the company intranet to keep employees up to date.
- Manage all Governance Documents communications and ensure they are promptly communicated to the parties concerned.
- Conduct corporate governance gap analysis, and maturity assessment.
- Engage with stakeholders and protect shareholders’ rights
- Oversee the Board and Leadership
- Keep abreast of local (CMA) and international rules practices.
Skills
Job Requirements:
- A minimum of a bachelor’s degree in law, business administration, or related field.
- Master’s degree is desirable.
- Should have a good knowledge of CMA (Capital Market Authority) practices, rules, and regulations.
- Proven working knowledge of current governance legislation and best practices in Saudi Arabia
- Considerable experience in engaging with board members, regulators, shareholders and the broader stakeholder as well.
- Exposure in corporate governance and compliance matters.
- A customer focused perspective and keen judgment supported by effective negotiation and influencing skills.
- Work under pressure and have a high level of composure.
- Robust business sense, with strong communication and presentation skills.
- Excellent command of English and Arabic
