Overview

We are seeking a Business Development Professional - Mergers & Acquisitions to join the Strategy & Business Development Department.

The Strategy & Business Development Department is responsible for executing Mergers & Acquisitions (M&A) transactions originated by New Energies Business verticals.

The Business Development professional's primary role is to manage the execution of a wide range of transactions including M&A, joint ventures, and strategic partnerships. This includes valuation, due diligence, negotiations, and structuring of transactions from origination to signing and closing.

Key Responsibilities
  • Conduct detailed due diligence on target companies with support from relevant internal organizations.
  • Perform valuation of target companies using various methods and evaluate their business plans.
  • Draft business proposals, term sheets, non-binding offers, and develop negotiation strategies and commercial terms.
  • Lead negotiations and execution of definitive agreements with legal and other relevant departments.
  • Manage activities to progress proposals through stage gates, prioritize proposals based on investment criteria, and align with NBD portfolio strategy.
  • Manage all aspects of transaction execution, including team and advisor management.
  • Handle stakeholder management, working with internal teams, consultants, and partners.
  • Oversee the development and review of legal documents like heads of terms, MoUs, cost-sharing, and shareholder agreements.
  • Ensure compliance with process stage gates, approve contract payments, and manage business development analysts.
Minimum Requirements
  • Bachelor’s degree in Accounting, Economics, Business, or Finance; MBA or equivalent preferred.
  • Minimum of 10 years in business development, with at least 5 years in M&A transaction execution, preferably in international oil companies.
  • Experience with consulting firms, accounting firms, investment banks, or private equity.
  • Strong M&A background with experience in valuation, modeling, due diligence, negotiations, and transaction execution.
  • Understanding of financial analysis, transaction principles, and structures; industry expertise in renewables, carbon capture, hydrogen is a plus.
  • Knowledge of commercialization strategies, business models in energy sectors, risk reporting, portfolio management, and accounting fundamentals.
  • Certifications like CFA, CMA, or PMP are preferable.
