We are seeking a Head of Legal for our medium-sized, global corporation, which is poised for rapid international growth in the coming years. The successful candidate will oversee a broad range of operational and strategic legal responsibilities, with an emphasis on international expansion, legal research, and the robust design of internal legal processes.
Location: 100% remote in Europe.
Language: Fluency in Ukrainian or Russian, with excellent written and verbal communication in English.

Responsibilities
- Global Structuring: Co-develop with the CFO a global tax strategy and target legal structure; advise on the design of the corporate legal structure, including subsidiaries and sub-holdings, their legal forms, countries and states of incorporation; maintain documentation describing the tax strategy and target structure; conduct research on global tax strategy matters to create a scalable, tax-efficient structure.
- Compliance & Governance: Co-develop and maintain a comprehensive legal and tax compliance calendar across jurisdictions; monitor country-by-country compliance with statutory legal, financial and tax deadlines; manage external audits in USA, Canada, and Estonia; ensure intra-group contracts and primary documentation are complete for audits; manage transfer-pricing documentation and external tax vendors.
- Tax & Financial Operations: Support internal accounting with tax guidance, obtain external tax consulting as needed, ensure compliance with direct/indirect taxes and accounting standards; manage payroll vendors and tax filings; monitor tax changes in USA, Canada, and the EU and advise actions; manage capitalization tables and equity contribution documentation.
- Legal Technology & Risk Management: Conduct quarterly internal legal audits; co-design with the CFO risk strategies and training; design customer scoring and risk assessment procedures; manage contract lifecycle workflows in JIRA; simplify contracts for tests and low-value sales orders; review and update standard templates of various agreements as needed.
- M&A & Corporate Finance: Structure strategic transactions, lead data-room diligence, draft and negotiate core transaction documents, advise on instruments (SAFE, convertible notes, debt facilities); act as lead negotiator with counterpart counsels.
- Customer Contracts Management: Lead reviews of customer contracts, negotiate complex provisions, coordinate with Business Development, Production, and Finance; resolve disputes and seek favorable out-of-court settlements when possible.
- Legal Operations & PM: Find and contract new service providers for legal, tax, and audit services; manage registering new legal entities and opening bank accounts; manage KYC/AML requests; prepare intra-company and financing agreements as requested.
- Other: Review and update internal templates and maintain consistent standards across legal and tax practices as required.
Requirements
- English fluency is required.
- Excellent communication, analytical, and organizational skills.
- Master's Degree in Law.
- Minimum 10 years of experience in corporate law, preferably with international tax and international corporate finance, including at least 3 years in management (senior manager/partner level).
- Demonstrated ability to manage complex legal projects and multiple stakeholder engagements in a dynamic environment.
