Job summary

Responsibilities

  • Review, draft, negotiate, and support a variety of commercial agreements and transaction documents.
  • Respond to customer contractual requests and develop practical contract solutions that manage risk.
  • Lead contract negotiations for international projects and framework agreements.
  • Partner with sales, operations, finance, and other teams to support commercial outcomes.
  • Provide guidance during contract approvals and risk assessment.
  • Analyze contractual, commercial, financial, and legal risks and propose mitigations.
  • Research and communicate relevant legal and regulatory requirements.
  • Support contract lifecycle management using digital platforms and templates.
  • Provide day-to-day legal guidance on contracts and issue resolution.
  • Assist with customer claims, disputes, and pre-litigation activities in collaboration with peers.

If you are a Contracts Counsel professional looking for an opportunity to grow your career, Emerson has an exciting opportunity for you. Based in Warsaw, Poland, you will provide contract and legal support to Emerson's European sales organization, partnering closely with business teams to help drive commercial success while managing risk. In this role, you will review, draft, negotiate, and advise on a wide range of commercial agreements, support strategic initiatives, and contribute to a collaborative global legal function. You will have opportunities to develop your expertise while working alongside experienced legal professionals in a dynamic international environment.

In This Role, Your Responsibilities Will Be:
  • Review, draft, negotiate, and support a variety of commercial agreements and transaction documents in alignment with Emerson policies, legal requirements, and ethical standards.
  • Respond to customer contractual requests and develop practical contract solutions that support business objectives while appropriately managing risk.
  • Lead contract negotiations for less complex international projects, multi-business-unit agreements, and framework agreements, with opportunities to support increasingly complex matters as experience grows.
  • Partner with sales, project, operations, finance, tax, compliance, supply chain, and legal stakeholders to support successful commercial outcomes.
  • Provide guidance during contract approval processes to help business teams make informed decisions and secure necessary approvals.
  • Analyze contractual, commercial, financial, and legal risks and recommend practical mitigation strategies.
  • Research, interpret, and communicate legal and regulatory requirements relevant to commercial activities and business operations.
  • Support contract lifecycle management activities using digital contract management platforms and tools.
  • Draft and maintain contract templates and standard terms and conditions.
  • Provide legal guidance on day-to-day commercial matters, contract interpretation, and issue resolution.
  • Assist with customer claims, disputes, and pre-litigation matters in collaboration with legal colleagues and business stakeholders.
  • Support audits, assessments, investigations, and compliance-related activities as appropriate.
  • Contribute to legal projects, process improvements, and global law department initiatives.

For This Role, You Will Need:
  • Professional experience supporting commercial contracts, contract administration, contract negotiation, legal operations, or related legal and commercial activities.
  • Knowledge of commercial contracting principles and common contractual provisions, including warranties, liability, payment terms, freight terms, guarantees, and risk allocation provisions.
  • Ability to review, analyze, and negotiate contractual language with attention to detail and business impact.
  • Strong written and verbal communication skills in English and Polish.
  • Ability to build collaborative relationships with business stakeholders and customers across multiple functions and locations.
  • Experience working with Microsoft Office applications and digital contract management tools.
  • Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
  • Demonstrated analytical and problem-solving capabilities.
  • Legal education, training, or equivalent professional experience that enables effective performance of the responsibilities of the role.
Preferred Qualifications That Set You Apart:
  • Experience supporting international commercial contracts and project-based agreements.
  • Experience working within an in-house legal function, law firm, contracts management team, or similar environment.
  • Knowledge of contract lifecycle management platforms such as DocuSign CLM, Conga CLM, or comparable systems.
  • Professional qualification or authorization to practice law where applicable.
  • Additional language capabilities, including Ukrainian, Russian, German or other European languages.
  • Professional development in contract and commercial management disciplines.
  • Experience supporting sales organizations, manufacturing operations, supply chain functions, or multinational business environments.
