Job description

Job Summary:

The Paralegal – Business Registration and Compliance is responsible for assisting in the preparation, processing, and monitoring of business registrations, corporate legal documents, and regulatory compliance filings. This role ensures the company and its subsidiaries remain compliant with local laws, government regulations, and industry requirements.

Key Responsibilities:

1. Business Registration & Licensing:

  • Assist in preparing and filing documents for business registration, renewal, and amendments with relevant government agencies such as:

    • Securities and Exchange Commission (SEC)

    • Department of Trade and Industry (DTI)

    • Bureau of Internal Revenue (BIR)

    • Local Government Units (LGUs) – Business Permits, Barangay Clearances

    • SSS, PhilHealth, Pag-IBIG Fund

  • Monitor and renew all necessary business permits and licenses before expiration.

  • Track incorporation documents and maintain accurate records of registrations and renewals.

2. Regulatory Compliance:

  • Prepare and assist in filing of annual and periodic compliance reports, including:

  • General Information Sheets (GIS)

  • Ensure corporate compliance with regulatory requirements, including SEC Memorandum Circulars.

  • Support internal and external audits by providing corporate documents as needed.

3. Legal and Corporate Support:

  • Draft and review standard legal documents such as board resolutions, secretary’s certificates, contracts, and powers of attorney under supervision.

  • Maintain the company’s corporate records, such as the minutes book, stock and transfer book, and other legal files.

  • Coordinate notarization and apostille of documents when required.

4. Administrative and Liaison Work:

  • Act as liaison with government agencies (SEC, BIR, LGU, etc.) for filing, follow-ups, and clarification of compliance issues.

  • Maintain a tracking system of filing deadlines and compliance obligations.

  • Provide support to the legal or compliance team in various corporate legal matters.

Qualifications:

  • Bachelor’s degree in Legal Management, Political Science, Business Administration, or related field

  • Preferably with paralegal or corporate legal experience (1–3 years) in a law firm or corporate legal department

  • Familiar with Philippine government agencies and business compliance requirements

  • Knowledge of SEC, BIR, and LGU processes is essential

  • Strong attention to detail and organizational skills

  • Excellent written and verbal communication skills

  • Ability to handle sensitive and confidential information

  • Proficient in MS Office and document management systems

  • Preferred Skills:

  • Experience in dealing with PEZA or BOI-registered companies is a plus

  • Knowledge of corporate housekeeping and governance processes


WORK SCHEDULE
Monday to Friday 8:00 AM to 5:00 PM
Onsite in Makati City
