Job Description

Key Responsibilities

• Contribute to the formulation and oversight of the institution's strategic direction and long-term business objectives.
• Provide independent judgement and constructive challenge on matters relating to governance, risk management, compliance, and regulatory affairs.
• Review and oversee the effectiveness of corporate governance frameworks and internal control systems.
• Ensure adherence to applicable banking regulations, governance requirements, and industry best practices.
• Assess the effectiveness of management's execution of approved strategies and business plans.
• Review financial performance, risk exposures, and material business initiatives to support informed decision‑making.
• Participate actively in Board and Committee meetings, contributing expertise and independent perspective.
• Promote a culture of integrity, accountability, and ethical business conduct throughout the organization.
• Support effective engagement with regulators, auditors, and key stakeholders where appropriate.
• Safeguard the interests of shareholders while balancing the needs of customers, employees, regulators, and other stakeholders.

The Successful Applicant

The ideal candidate will possess:

• Extensive experience within the banking or broader financial services sector.
• Strong expertise in legal, regulatory compliance, corporate governance, risk management, or related disciplines.
• A proven track record in senior leadership, board, executive committee, regulatory, legal, compliance, or risk management roles.
• Sound knowledge of the Philippine banking regulatory environment and governance requirements.
• Experience engaging with regulators, auditors, and governance bodies.
• The ability to exercise independent judgement and provide strategic guidance at board level.
• Strong stakeholder management, communication, and decision‑making capabilities.
• A reputation for integrity, professionalism, and sound governance practices.
• Previous Board Director, Independent Director, Chief Compliance Officer, Chief Risk Officer, General Counsel, or senior banking leadership experience is highly desirable.
